At our upcoming 2016 Annual Meeting, Clover Partners, L.P., a
small Texas-based hedge fund, is seeking to have two director
candidates, including one of its employees, elected to the Board of
Directors of Financial Institutions, Inc. to further its short-term
agenda for FISI to be sold in the near-term. We believe that
Clover Partners, which started accumulating FISI shares less than
nine months ago, has demonstrated time-and-time again that it has
little understanding of community banking in Western New York and
how a community bank like FISI grows long-term shareholder
value.
We do not believe that a sale of FISI in the near-term is in the
best interest of our shareholders. Under the oversight of our
highly-qualified, experienced and engaged Board, and the strong
leadership of our management team led by Martin K. Birmingham, our
strategic growth plan is working and growing shareholder value. We
believe that a sale now would deprive our shareholders of the

commercial mortgages, and a 52% decrease in nonperforming
loans
