Chaparral Gold Corp. ("Chaparral") (TSX:CHL) provides an update with respect to the January 27, 2015 amendment to the plan of arrangement transaction (the "Amended Arrangement") with Waterton Precious Metals Fund II Cayman, LP ("Fund II)" and Waterton Precious Metals Bid Corp ("Waterton"), as announced in a joint news release issued on January 27, 2015.

The Supreme Court of British Columbia has today approved the Amended Arrangement and subject to the satisfaction of customary conditions to closing, it is expected that the transaction will be completed on or about February 18, 2015 at the previously-agreed consideration of C$0.61 in cash per Chaparral share.
