DESCRIPTION
OF PREFERRED STOCK
General
We
are authorized to issue up to 20,000,000 shares of preferred stock in one or more series, with such designations, preferences and

of directors, without any further vote or action by our stockholders, including dividend rights, conversion rights, voting rights,

On January 23, 2016, the Company’s Board of Directors and a majority of the holders of the Company’s Series A shares
approved an amendment to the Certificate of Designation of the Series A Shares to increase the number of authorized Series A Shares
