The Registrants amended and restated certificate of incorporation contains provisions permitted under Delaware law relating to the
liability of directors. These provisions eliminate a directors personal liability for monetary damages resulting from a breach of fiduciary duty as a director, except in circumstances involving wrongful acts, such as:

any breach of the directors duty of loyalty to the Registrant or its stockholders; |
|
|
|
any act or omission not in good faith or that involves intentional misconduct or a knowing violation of the law; |
|
|
|
any act related to unlawful stock repurchases, redemptions or other distribution or payments of dividends; or |

any transaction from which the director derived an improper personal benefit. |
These
provisions do not limit or eliminate the Registrants rights or any stockholders rights to seek non-monetary relief, such as an injunction or rescission, in the event of a breach of a directors fiduciary duty. These provisions will
not alter a directors liability under federal securities laws.

As permitted by Section 145 of the Delaware General Corporation Law, the Registrants
amended and restated bylaws provide that: (1) the Registrant is required to indemnify its directors and executive officers to the fullest extent not prohibited by the Delaware General Corporation Law or any other applicable law; (2) the
Registrant may, in its discretion, indemnify its other officers, employees and agents as set forth in the Delaware General Corporation Law or any other applicable law; (3) the Registrant is required to advance all expenses incurred by its
directors and executive officers in connection with certain legal proceedings; (4) the rights conferred in the Registrants amended and restated bylaws are not exclusive; and (5) the Registrant is authorized to enter into
indemnification agreements with its directors, officers, employees and agents.
The Registrant has entered into agreements with its
directors and officers that require the Registrant to indemnify such persons against any and all expenses, judgments, fines, penalties and amounts paid in settlement, as well as any taxes imposed on such persons as a result of the actual or deemed
receipt of any such payments, in connection with any threatened, pending or completed action, suit, proceeding or alternative dispute resolution mechanism (or any hearing, inquiry or investigation that such person in good faith believes might lead
to the institution of any such action, suit, proceeding or alternative dispute resolution mechanism), whether civil, criminal, administrative, investigative or otherwise, related to the fact that any such person is or was a director, officer,
employee, agent or fiduciary of the Registrant, or any subsidiary of the Registrant, or is or was serving at the request of the Registrant as a director, officer, employee, agent or fiduciary of another corporation, partnership, joint venture, trust
or other enterprise, or by reason of any action or inaction on the part of any such person while serving in such capacity. The indemnification agreements also set forth certain procedures that will apply in the event of a claim for indemnification
thereunder. At present, no litigation or proceeding is pending that involves any of the Registrants directors or officers regarding which indemnification is sought, nor is the Registrant aware of any threatened litigation that may result in
claims for indemnification.
The Registrant maintains a directors and officers liability insurance policy. The policy insures
directors and officers against unindemnified losses arising from certain wrongful acts in their capacities as directors and officers and reimburses the Registrant for those losses for which the Registrant has lawfully indemnified the directors and
officers. The policy contains various exclusions.

Ladies and Gentlemen:
You have requested our opinion with
respect to certain matters in connection with the filing by XenoPort, Inc. (the Company) of a Registration Statement on Form S-8 (the Registration Statement) with the Securities and Exchange Commission covering
the offering of up to 4,000,000 shares of the Companys Common Stock, $0.001 par value per share (the Shares), to be issued pursuant to the Companys 2015 Employee Stock Purchase Plan (the Plan), and
the preferred stock purchase rights (the Rights) associated with the Shares to be issued pursuant to that certain Rights Agreement, dated as of December 15, 2005, as amended (the Rights Agreement), between
the Company and Computershare Shareowner Services LLC (formerly Mellon Investor Services LLC), as rights agent (the Rights Agent).
In
connection with this opinion, we have examined the Registration Statement and related Prospectus, the Companys Certificate of Incorporation and Bylaws, each as amended, the Rights Agreement, as amended, and such other documents, records,
certificates, memoranda and other instruments as we deem necessary as a basis for this opinion. We have assumed the genuineness and authenticity of all documents submitted to us as originals, the conformity to originals of all documents submitted to
us as copies thereof and the due execution and delivery of all documents where due execution and delivery are a prerequisite to the effectiveness thereof. We have also assumed that the Rights Agreement has been duly authorized, executed and
delivered by the Rights Agent and that the members of the Board of Directors of the Company (the Board) have acted in a manner consistent with their fiduciary duties as required under applicable law in adopting the Rights
Agreement.
Our opinion is expressed only with respect to the federal laws of the United States of America and the General Corporation Law of the State of
Delaware. We express no opinion as to whether the laws of any particular jurisdiction other than those identified above are applicable to the subject matter hereof.
On the basis of the foregoing, and in reliance thereon, we are of the opinion that the Shares and the associated Rights, when sold and issued in accordance
with the Plan, the Registration Statement and the related Prospectus, will be validly issued, and the Shares fully paid and nonassessable.
This opinion
does not address the determination a court of competent jurisdiction may make regarding whether the Board may be required to redeem or terminate, or take other action with respect to, the Rights in the future based on the facts and circumstances
then existing. Moreover, this opinion addresses corporate procedures in connection with the issuance of the Rights associated with the Shares, and not any particular provision of the Rights or the Rights Agreement. It should be understood that it is
