Share Buyback Programme
Rolls-Royce Holdings plc (the 'Company') announces, that further
to the announcement made on 20 February 2015 that the second
GBP250m tranche of the share buyback programme has been initiated,
it has purchased from Morgan Stanley the following number of its
ordinary shares of 20 pence each ('Shares'):
Number of Shares purchased: 550,000
Highest price paid per Share
(pence): 979.00

Lowest price paid per Share
(pence): 959.50

Average price paid per Share
(pence): 964.77

The Company will hold the above Shares as treasury shares for
the benefit of various employee share plans.
The Company will have 1,850,087,596 Shares in issue and the
total number of treasury shares held is 1,050,000.
Therefore the total number of voting rights in the Company is
1,849,037,596 and this figure may be used by shareholders as the
denominator for the calculations by which they can determine if
they are required to notify their interest in, or a change to their
interest in, the Company under the FCA's Disclosure Rules and
Transparency Rules.
