               Willi-Food Investments Ltd. Transaction completed

Capitalised terms will have the meanings ascribed to them in the Company's
announcements of 3 March, 7 and 28 April and 1 May, 2014.

Further to the Company's announcement of 1 May, 2014, on 4 May, 2014 the
Transaction was completed and the Company now holds a controlling stake in
Willi-Food Investments Ltd. ("WFI") such that the Company now holds 8,203,371
WFI ordinary shares, which constitute approximately 61.65% of the issued share
capital of WFI and approximately 62.21% of its voting rights.

As part of the completion of the Transaction, the Company received irrevocable
powers of attorney to vote the shares held by each of the Sellers in G.
Willi-Food International Ltd. ("WFINT") at all general meetings thereof, for as
long as any of the Sellers, as the case may be, holds shares in WFINT and for
the duration of five years from completion of the Transaction.

Upon completion of the Transaction, those directors nominated to the boards of
directors of WFI and WFINT by the Company were appointed and now constitute a
majority on both boards.
