AGM Resolutions

CPPGroup Plc ("the Company") confirms that all resolutions proposed at the Annual General Meeting held on Monday, 1 June 2015 at 10.00 am at Eversheds, One Wood Street, London, EC2V 7WS and set out in the Notice of Meeting dated 5 May 2015, were duly passed on a show of hands.

Details of the proxy votes received prior to the Meeting will be published on the Company's website http://www.cppgroupplc.com.

Note:

Given that Mr Roger Canham's appointment became effective less than 7 days prior to the AGM, it was not feasible to circulate an amended AGM notice in time to propose his re-appointment at the AGM. Accordingly, Roger's office was deemed to be vacated at the conclusion of the AGM under Article 110 of the Company's Articles of Association and he was reappointed as a non-executive director by board resolution immediately following the AGM. In order to ensure appropriate accountability and to give shareholders a meaningful opportunity to evaluate his performance, Roger will therefore retire and stand for re-election at the annual general meeting to be held in 2016, whereafter he will be subject to retirement by rotation in accordance with Article 106.
