Exercise of Share Options by persons discharging managerial
responsibilities
Andor Technology plc ("Andor" or the "Company") announces that,
following the offer by OINTH for the entire issued and to be issued
share capital of the Company, Conor Walsh, Donal Denvir and other
employees of Andor have returned Forms of Instruction indicating
that they wish to accept the offer made to holders of share options
in the Company under which their options would be exercised using a
cashless exercise facility and they would accept the offer in
relation to their resulting shares (the "Exercise and Acceptance
Offer").
Consequently, 1,354,500 ordinary shares of 2 pence each in the
capital of the Company have been issued and allotted to Conor
Walsh, Donal Denvir and other employees of Andor (the "Shares").
Accordingly, application has been made for the Shares to be
admitted to trading on the AIM Market of the London Stock Exchange,
which is expected to take place on 6 February 2014.
In connection with the Exercise and Acceptance Offer in relation
to options under the Andor Technology Limited Enterprise Management
Scheme (the "EMI Scheme") and the Andor Technology plc 2009
Long-Term Incentive Plan (the "LTIP"), the Board of Andor has been
notified that Conor Walsh and Donal Denvir received the beneficial
interest of and/or the legal interest in ordinary shares in the
Company as detailed below:

consist of 33,374,996 ordinary shares of 2 pence each with ISIN
GB00B043J741. All of these shares carry voting rights of one vote
per share. The Company does not currently hold any shares in
treasury. Words and expressions defined in the offer document sent
to Andor Shareholders on 17 December 2013 (the "Offer Document")
shall, unless the context provides otherwise, have the same
meanings in this announcement.
