Total Voting Rights

Ambrian confirms that the total issued share capital of the Company now comprises 276,381,947 ordinary shares of GBP0.01 each ("Ordinary Shares"), 111,361,208 deferred shares of GBP0.09 each, 19,414,205 special deferred shares of GBP0.01 each and 9,707,102 Second Tranche Deferred Convertible Securities of GBP0.01 each (which deferred shares, special deferred shares and Second Tranche Deferred Convertible Securities carry no voting rights).

Of these, 4,500,058 Ordinary Shares are held in treasury and a further 9,584,466 Ordinary Shares are held by the Company's wholly-owned subsidiary, Ambrian Metals Limited, following its merger with Consolidated General Minerals (Schweiz) AG, such that such Ordinary Shares do not carry voting rights whilst so held. In addition, as a result of the distribution announced on 8 May 2015 of 19,727,725 Initial Convertible Securities by the liquidators of Consolidated General Minerals plc ("CGM") to the Company (as a shareholder of CGM) and the conversion of such Initial Convertible Securities into 19,727,725 Ordinary Shares upon such distribution, such Ordinary Shares held by the Company cease to carry voting rights whilst so held.

Accordingly, the total number of Ordinary Shares in Ambrian with voting rights is 242,569,698. This figure of 242,569,698 may be used by Ambrian shareholders as the denominator for calculations to determine if they have a notifiable interest in Ambrian under the Disclosure and Transparency Rules, or if such interest has changed.
