The complaint accuses the defendants of
violations of the Securities Exchange Act of 1934 by virtue of the

existence of a “side letter” arrangement with a Company customer
for certain discounts and Company products that were to be provided
at no cost. According to the complaint, following the Company’s
March 2, 2015 disclosure that it would be unable to timely file its
Annual Report on Form 10-K for the year ended December 31, 2014
until it had the opportunity to investigate the “side letter”
arrangement, the value of Omnicell shares declined
significantly.
