Item 7.01 Regulation FD Disclosure.

On January 23, 2015, Morgans Group LLC (“Morgans Group”), a subsidiary of Morgans Hotel Group Co., closed the previously disclosed sale of its 90% interest in TLG Acquisition LLC pursuant to the Equity Purchase Agreement, dated December 16, 2014. Morgans Group received approximately $32.8 million of net proceeds at closing.
