The closing documents set forth the material terms and conditions of both the acquisition of AICPG as well as the change of control transaction previously announced this month as a letter of intent. Under the terms of the Share Exchange Agreement ("SEA"), the Company will be issuing 740,000,000 shares of Common Stock in exchange for all the membership units of AICPG outstanding, making AICPG a wholly owned subsidiary of the Company. In a related party transaction, pursuant to a Share Purchase Agreement ("SPA"), Ruben Padilla purchased all the issued and outstanding voting control shares of the Company from Lloyd Preston Jr. which are 6,000,000 shares of the Series "A" Preferred Stock and 1,000,000 shares of the Series "B" Preferred Stock.

Why? The Annual has to be filed "within 90 days of Fiscal year end" which is 12/31. So they have until March 31.

Back to pink limited I guess. I doubt they file financials today and there was no notification of late filing

Personally, I believe that the ex-management of $HIRU was involved with starting $AWON. But, they are currently involved in 3 lawsuits that have stopped them from proceeding until settled.

On top of all the other reasons look at the product they and Hiru are supposedly working with WTER. It just got delisted and has dropped from over a dollar to 26 cents.

That was the only thing holding Awon and Hiru up.

Lets see, No working phone, no website , no product shipping, no posting, except a ridiculous PR saying the same thing he said 2 months ago and no communication what so ever. Oh and the best one yet no QB rating by OTC.
HEY A-WON, or is that A-LOSE , IS it too much too ask from those of us who gave your stock value in the first place.

Might as well fish cheap at this point. They did great with communication 6 months ago. A low bid is worth a gamble for me in hope some legal issue is allowing them to move forward.

I’m thinking the potential litigation between the new management of $HIRU and them has things delayed a bit.

Looks like someone dumped their shares into the .0074 bid this morning, People are bailing on AWON and AWON is doing nothing to project any confidence

Missed deadlines, partially worded tweets, and unkept promises has Kathryn’s name all over it. This is how she ran $HIRU. But, I do see great potential here if they actually deliver. I believe the delays we are seeing now are due to the potential litigation with the new management of HIrU. They should settle soon and then we should start seeing things happen. January should be very interesting.

AWON, is shooting itself in the foot over and over again with this whole QB uplisting. First a correction had to be made and then waiting for the 30 days over .01 which now since the whole water mess and no production the stock just keeps tanking below .01. They stated they already purchased the bottling company in upstate NY but yet I guess it is just sitting there since they also stated they signed a contract to supply Alkaline 88 but that got sidetracked with the new subcontractor now in charge. What a typical OTC hot mess with no communication possible. But now the dangle a stock cancellation out there. This is what scams do and its starting to stink like one.

To my understanding, and not financial advice, AWON is acquiring bottling facilities to sell bottled water.

They of course have their own spin on their bottled water which you should read about in their filings as they do not have a working website.

Forewarning: the company has stated they would be delivering PR a few weeks back and have failed to deliver; as in not a word from the company good, bad, or ugly.

Supposedly waiting on additional share cancellation as well. You may need to hear from another board member to describe where AWON is at in that process. They have previously cancelled shares that could be calculated by, again, reviewing their filings.

I likle it... There has to be more business going on behind the scenes. It just seems to me that there are some contracts or business that is being worked on. The company has too good of a product. Long time holder...

Well AWON , you missed your own self stated deadline again this week. Not sure why you are letting your stock tank . Maybe you don’t want to be on the QB. You know what might help? A PR with some company information and maybe a response other than the PR will be out this week for sure.
We eagerly await your move.

Not bad news, just delays with QB update / news and year end tax loss selling. If people are impatient just sell and move on. I’m glad some bailed and moved in yesterday
