Item 3.02 Unregistered Sales of Equity Securities.

 

On July 22, 2019, in connection with the closing of an acquisition of an infusion pharmacy, Diplomat Pharmacy, Inc. (the “Company”) issued 836,431 shares of its common stock to the former owner of the acquired company. No cash proceeds were received by the Company as the shares represent a portion of the consideration for the acquisition. The 836,431 shares of common stock of the Company issued to the seller in connection with the acquisition were issued and sold pursuant to exemptions from registration under Section 4(a)(2) of the Securities Act of 1933, as amended, and/or Rule 506 of Regulation D promulgated thereunder by the Securities and Exchange Commission.
