Exercise of Options and Director Dealing

Greenko has today been notified of the exercise of outstanding options over 3,250,000 ("New Shares") ordinary shares of EUR0.005 in the Company ("Ordinary Shares") held by directors or in which directors have an interest.

On 20 November 2015, following completion of the disposal of the Company's shares in Greenko Mauritius and other assets held by the Company, ACMK Enterprise Limited, a company in which Anil Kumar Chalamalasetty and Mahesh Kolli have a controlling interest, exercised an option granted under the Company's long term incentive plan for 3,100,000 New Shares and Keith Henry exercised an option for 150,000 New Shares, all at a price of EUR0.005 per Ordinary Share.

An application for admission of the New Shares to trading on AIM has been submitted and trading is expected to commence on or around 26 November 2015.

Following the issue of the New Shares, the Company's total issued share capital will consist of 159,011,606 Ordinary Shares ("Enlarged Issued Share Capital") with one voting right per Ordinary Share. The Company does not hold any shares in treasury. Therefore, following the issue of the New Shares, the total number of voting rights in the Company will be 159,011,606.

Following the option exercise, Keith Henry will have a beneficial interest in 190,000 Ordinary Shares representing 0.12% of the Enlarged Issued Share Capital. Anil Kumar Chalamalasetty and Mahesh Kolli will have a beneficial interest in 29,843,146 Ordinary Shares, representing 18.77% of the Enlarged Issued Share Capital.
