For sake of discussion because I don’t know, what are some of the ways they could be planning to merge the two shares? Hahalolo and Fbec
From what I’ve seen the Vietnamese want to be paid and are into ipo's
At some point there is going to be a huge spike move up. I just don’t know when.
If they really want to, they can squeeze a ton of money out on the OTC make this some bitch run before they upload to the NASDAQ

I would like to say that I am but with no filings and no press releases from the company to give investors a plan of what their intentions are, it’s hard to be bullish.

The last, and only filing of 2022, was 01/11/2022, when L2 Capital (Adam Long) filed SC 13G, for the purchase of 357,880,151 shares of FBEC, for 9.9% ownership.

According to SEC EDGAR I Company Search, FBEC last filed a 10-K Annual Report, on 5/22/2017, for Reporting date 12/31/2016.

However, they could file a NT/10-K (Notification of Untimely Filing), which would give FBEC an additional 15 days, taking the deadline to the middle of March.

If I'm not mistaken, FBEC's fiscal year is from 12/31 to 12/31. Therefore, Their 10-K Annual Report was due, no later than the end of February.

Does anyone know when the annual report is due, is it at the end of April? Their 2022 annual was filed in June of 2023.

Majic: someone previously did and posted a response that they are infact getting ready to file. I’m not worried about expert market it’s easy to cure just need filings, unlike CE which take years.

Sure, would love to see the new name and ticker, but every day that goes by without filings, is a day closer to EM. What the heck are they waiting for?! The least they could do is put out a PR to at least let us know that they are awake and working on it.

I'm expecting filings soon, simply because that's what you do when you are a public company. By the way, don't forget there is a grace period before going to EM. Also, even if they do go EM, which I doubt they will, they can still come back current. I'm holding my small stake not going anywhere. Go Hahalolo!

FBEC still hasn’t filed. They need to get 15c2-11 compliant ASAP -- if not, they get kicked to the expert market and goodbye stock.
