We are offering 7,600,000 shares of our common stock and accompanying
common warrants (the “common warrants”) to purchase an aggregate of up to 20,000,000 shares of our common stock in this offering.
The combined public offering price of each share and two (2) accompanying common warrants is $0.525. The common warrants have an exercise
price equal to $0.525, will be immediately exercisable and will expire on the fifth anniversary of the original issuance date. The shares
of common stock and common warrants will be issued separately but can only be purchased together in this offering.
We are also offering 2,400,000 pre-funded warrants
(the “pre-funded warrants”) to those purchasers whose purchase of shares of common stock in this offering would otherwise
result in the purchaser, together with its affiliates and certain related parties, beneficially owning more than 4.99% (or, at the election
of the purchaser, 9.99%) of shares of our outstanding common stock immediately following the consummation of this offering, in lieu of
shares of common stock that would otherwise result in such purchaser’s beneficial ownership exceeding 4.99% (or, at the election
of the purchaser, 9.99%) of our outstanding shares. Each pre-funded warrant is being sold with two (2) accompanying common warrants to
purchase two (2) shares of common stock. The pre-funded warrants and corresponding common warrants will be issued separately. The public
offering price of each pre-funded warrant and two (2) accompanying common warrants is $0.5249 (equal to the price per share being sold
in this offering, minus $0.0001), and the exercise price of each pre-funded warrant is $0.0001 per share. The pre-funded warrants will
be immediately exercisable and may be exercised at any time until all of the pre-funded warrants are exercised in full.
We are also registering shares
of common stock that are issuable from time to time upon exercise of the pre-funded warrants, common warrants and placement agent warrants
(as defined below).
As a result of this offering, the exercise price on 11,799,654 of our
previously outstanding warrants will be automatically adjusted from $2.42 per share to the combined public offering price of each share
and two (2) accompanying common warrants sold in this offering. See risk factor entitled “We have 11,799,654 outstanding warrants
with anti-dilution price protection and this offering will result in the exercise price on such warrants being reduced from $2.42 to the
combined public offering price of each share and two (2) accompanying common warrants sold in this offering.” on page S-6 of this
prospectus supplement.
Our common stock is listed on the Nasdaq Capital
Market under the symbol “XXII.” On October 17, 2023, the closing price of our common stock was $0.5655 per share. There
is no established public trading market for the common warrants or the pre-funded warrants, and we do not expect such market to develop.
In addition, we do not intend to apply for listing of the common warrants or pre-funded warrants on any national securities exchange or
other trading market. Without an active trading market, the liquidity of the common warrants and pre-funded warrants will be limited.
We have retained Dawson James
Securities, Inc. (the “placement agent” or “Dawson James”) to use its reasonable best efforts to solicit
offers to purchase our securities in this offering. The placement agent has no obligation to purchase any of the securities from us or
to arrange for the purchase or sale of any specific number or dollar amount of the securities. Because there is no minimum offering amount
required as a condition to closing in this offering the actual public amount, placement agent’s fee, and proceeds to us, if any,
are not presently determinable and may be substantially less than the total maximum offering amounts set forth above and throughout this
prospectus supplement. We have agreed to pay the placement agent the placement agent fees set forth in the table below and to provide

estimate the total expenses of this offering, excluding the placement
agent fees, will be approximately $288,000. We will pay the placement agent a cash fee equal to seven percent (7%) of the aggregate gross
proceeds raised in this offering (assuming the full exercise of the pre-funded warrants). In addition, we will pay the placement agent
a cash fee equal to seven percent (7%) of the aggregate cash exercise price received by the Company upon exercise of common warrants issued
in connection with this offering that were solicited by the placement agent. We will also reimburse the placement agent for its expenses,
including the reimbursement of legal fees not to exceed $125,000. In addition, we have agreed to issue the placement agent or its designees
warrants to purchase up to 1,000,000 shares of common stock (equal to 10% of the aggregate number of shares of common stock and pre-funded
warrants sold in this offering) at an exercise price of $0.65625, which represents 125% of the public offering price per share and two
(2) accompanying common warrants (the “placement agent warrants” and together with the common warrants and the pre-funded
warrants, the “Warrants”), which placement agent warrants cannot be exercised until we have received stockholder approval
to increase the number of our authorized shares of common stock, including by means of a reverse
stock split, by the number of shares of common stock issuable upon the exercise in full of all placement agent warrants, ignoring any
exercise limits set forth therein. The placement agent warrants and the shares of common stock issuable upon exercise of the placement
agent warrants are being registered hereby. See “Plan of Distribution” for a complete description of the compensation to be
received by the placement agent.
(2) The amount of the offering proceeds to us
presented in this table does not give effect to any exercise of the Warrants being issued in this offering.

Overview
22nd Century
Group, Inc. is a leading biotechnology company focused on utilizing advanced alkaloid plant technologies to improve health and wellness
with reduced nicotine tobacco, hemp/cannabis and hops. We use modern plant breeding technologies, including genetic engineering, gene-editing,
and molecular breeding to deliver solutions for the consumer goods and pharmaceutical industries by creating new, proprietary plants with
optimized alkaloid and flavonoid profiles as well as improved yields and valuable agronomic traits. Our mission in tobacco products is
dedicated to reduce the harms of smoking by commercializing our proprietary, very low nicotine content (“VLNC”) tobacco plants
and cigarette products. We received the first and only Food and Drug Administration (“FDA”) Modified Risk Tobacco Product
(“MRTP”) authorization of a combustible cigarette in December 2021. Beginning in April 2022, we launched our proprietary
VLN® reduced nicotine cigarettes, first through a pilot program conducted in select Circle K stores in and
around Chicago, Illinois. Following our successful pilot program, we initiated an ongoing state-by-state, region-by-region rollout
strategy.
Our
mission in hemp/cannabis is to develop and monetize proprietary varieties of hemp with valuable cannabinoid and terpene profiles and other
superior agronomic traits. We are currently a global scale provider of cannabinoid ingredients and Active Pharmaceutical Ingredients (“API”),
as well as a contract development and manufacturing organization (“CDMO”) provider of hemp-derived consumer
products.
In hops, our mission is to leverage
our experience with tobacco and hemp/cannabis, a close hop plant relative, to accelerate the development of proprietary specialty hop
varieties with valuable traits, for potential applications in life sciences and consumer products containing a variety of cannabinoids
and across various product categories, including, but not limited to, topical products, gummies, supplements, tinctures, and inhalables.
We have
a significant intellectual property portfolio of issued patents and patent applications relating to both tobacco and hemp/cannabis plants
and have further resources directed towards creating and securing additional intellectual property pertaining to all three franchises.
We continue to prioritize research and development activities to achieve our strategic and investment priorities.

Recent Developments
Strategic Alternatives
On September 5, 2023, at the recommendation of our board of directors
and after consultation with our financial and legal advisors, we initiated a process to evaluate strategic alternatives with respect to
our tobacco and other assets. The process includes consideration of a range of strategic, operational and financial transactions and alternatives,
such as business combinations, asset sales, licensing agreements, alternate financing strategies and other options. We have also engaged
a financial advisor to assist us in this strategic process with respect to identifying strategic partners and financing to fund operations
and to take actions to maximize our liquidity. As of the date hereof, we have no agreements in place for any strategic alternatives.
Cash Position
As of October 12, 2023, we had cash and cash equivalents of approximately
$2.8 million, excluding $7.5 million of restricted cash.
Waiver of Covenant in Debentures
As previously disclosed on March 3, 2023, we entered into that certain
Securities Purchase Agreement (the “SPA”) with JGB Partners, LP (“JGB Partners”), JGB Capital, LP (“JGB
Capital”) and JGB Capital Offshore Ltd. (“JGB Offshore” and collectively with JGB Partners and JGB Capital, the “Holders”)
and JGB Collateral, LLC, as collateral agent for the Holders (the “Agent”). Pursuant to the SPA, the Holders purchased (i)
7% Original Issue Discount Senior Secured Debentures and (ii) warrants to purchase up to 333,334 shares (later adjusted to 496,960 shares)
of our common stock, par value $0.00001 per share (the “JGB Warrants”).
On October 16, 2023, we entered into a Waiver and Amendment Agreement
(the “Amendment”) with each of the subsidiaries executing the debentures, the Holders and the Agent, pursuant to which, among
other things, (a) the Holders waived an event of default under Section 7(d) of the debentures which required us to achieve revenue of
at least $18.5 million for the quarter ended September 30, 2023 (the “waiver”), (b) the parties agreed to amend Schedule E
of the debentures to reduce the Revenue Target (as such term is defined in the debentures), for the quarter ended December 31, 2023, to
$15.5 million, and (c) we agreed to release to the Holders the $7.5 million that we were required to maintain in a separate account (the
“Escrow Funds”) which Escrow Funds will be applied to, and reduce, the outstanding principal amount of the debentures on a
dollar-for-dollar basis.
Additionally, as additional consideration to the Holders’ waiver,
whereby we have agreed to assign, transfer and convey to the Agent, our entire right, title and interest in and to (i) the Promissory
Note made by J&N Real Estate Company, L.L.C. (“J&N”) payable to us in the original principal amount of $3,800,000
and (ii) the Deed of Trust, Assignment of Rents, Security Agreement and Fixture Filing dated June 30, 2021, between J&N, as borrower,
for our benefit, as lender (collectively, the “Pledged Indebtedness”). Upon assignment of the Pledged Indebtedness, we will
recognize as a non-monetary transaction $2,600,000 of consideration in exchange to be applied as $2,000,000 reduction of Put Price (as
defined below) and $600,000 reduction of the outstanding principal amount of Debentures.
In connection with the waiver, we and the Holders
have agreed to exercise the outstanding put provision to redeem 166,667 Warrants for an aggregate price equal to $2,500,005 (the “Put
Price”), which is concurrently reduced by $2,000,000, as described above, with the remaining $500,005 payable by us on the Maturity
Date. No cash will be exchanged as a result of executing the Amendment.
The Amendment contains customary reaffirmations, reconfirmations of
security interests and subsidiary guarantees, and representations and warranties typical for a waiver and amendment of this type.
Increase in Authorized Shares
On October 16, 2023, our stockholders
approved an amendment (the “Amendment”) to our Articles of Incorporation, as amended, to increase the number of authorized
shares of common stock from thirty-three million three hundred thirty-three thousand and three hundred thirty-four (33,333,334) shares
to sixty-six million, six hundred sixty-six thousand sixty hundred sixty-seven (66,666,667), which Amendment was filed and effective with
the Secretary of the State of Nevada on October 16, 2023.

Risks Related to our Business and Continued
Operations
We have a history
of losses, and we expect to incur significant expenses and continuing losses for the foreseeable future and there is substantial doubt
regarding our ability to continue as a going concern.
As indicated in our quarterly
report on Form 10-Q for the quarter ended June 30, 2023, we have incurred significant losses and negative cash flows from operations
since inception and expect to incur additional losses until such time that we can generate significant revenue and profit in our tobacco
and hemp/cannabis businesses, which casts substantial doubt regarding our ability to continue as a going concern. As of October 12, 2023,
we had cash and cash equivalents of approximately $2.8 million, excluding $7.5 million of restricted cash.
Doubts about our ability
to continue as a going concern have and could continue to negatively impact our relationships with our commercial partners and our ability,
as part of our cost-cutting measures, to obtain, maintain, restructure and/or terminate agreements with them, or negatively impact our
negotiating leverage with such parties, which could have a material adverse effect on our business, financial condition and results of
operations or result in litigation. Furthermore, any loss of key personnel, employee attrition or material erosion of employee morale
arising out of doubts about our ability to operate as a going concern could have a material adverse effect on our ability to effectively
conduct our business, and could impair our ability to execute our business plan, thereby having a material adverse effect on our business,
financial condition and results of operations.
We need additional
funding to execute our business plan and to continue operations even with the anciticpated proceeds from this offering. We continue to seek and evaluate opportunities to raise additional
funds through the issuance of our securities, asset sales, and through arrangements with strategic partners. We have engaged a
financial advisor to assist us in identifying strategic partners and financing to fund operations and to take actions to maximize

We may be unable
to comply with the covenants in our senior secured debentures.
Our senior secured debentures contain customary representations, warranties and covenants including
among other things and subject to certain exceptions, covenants that restrict us from incurring additional indebtedness, creating or permitting
liens on assets, making or holding any investments, repaying outstanding indebtedness, paying dividends or distributions and entering
into transactions with affiliates and we are also required to maintain certain quarterly revenue targets.
As a result of these
covenants, our ability to respond to changes in business and economic conditions and engage in beneficial transactions, including to obtain
additional financing as needed, may be restricted. Furthermore, our failure to comply with the covenants could result in a default under
such agreements, which could permit the debt holders to accelerate our obligation to repay the debt. Although we recently received a waiver with respect to our compliance with such covenants, there is no assurance that we will be able
to secure a similar waiver for the failure to comply with any future covenants. If any of our debt is accelerated,
we likely would not have sufficient funds available to repay it. Substantially all of our assets, including intellectual property, are
collateralized under the debentures. If such debt is accelerated, we could be required to liquidate our inventory, cease or curtail operations,
or seek protection under applicable bankruptcy laws or similar state proceedings.
We could incur
restructuring and impairment charges as we continue to pursue a cost cutting initiate and pursue strategic alternatives.
We continue to evaluate
opportunities to optimize the cost structure of our operations in order to implement a cost savings initiative. These actions could result
in significant charges which could adversely affect our financial condition and results of operations. Future actions could result in
restructuring and related charges, including but not limited to impairments and employee termination costs that could be significant.
We have substantial amounts of long-lived assets, including goodwill and intangible assets, which are subject to periodic impairment analysis

The continued success of our cannabinoid-containing
products, if any, is subject to a number of constantly-evolving state and federal laws, regulations, and uncertain regulatory enforcement
policies pertaining to hemp-derived CBD and/or cannabis more generally.
The
Agriculture Improvement Act of 2018, or the “2018 Farm Bill,” was signed into law on December 20, 2018. This 2018 Farm Bill
expressly excluded “hemp” from the federal Controlled Substances Act of 1970 and the Controlled Substances Import and
Export Act’s, as amended (the “CSA”)’s definition of marijuana and, accordingly, declassified substances derived
from or containing any part(s) of the cannabis plant containing not more than 0.3% THC on a dry-weight basis from Schedule I. In effect,
the 2018 Farm Bill legalized the cultivation and commercial sale of hemp in the United States, subject to applicable state laws and regulations
and applicable federal Food, Drug & Cosmetic Act (FDCA) provisions, including any implementing regulations, as interpreted and enforced
by the FDA.
Local, state, federal, and international hemp
and CBD laws and regulations are broad in scope and subject to evolving interpretations, which could require us to incur substantial costs
associated with compliance requirements. In addition, violations of these laws, or allegations of such violations, could disrupt our business
and result in a material adverse effect on our operations. In addition, it is possible that regulations may be enacted in the future that
will be directly applicable to our current and/or future cannabinoid business(es). It is also possible that the federal government will
begin strictly enforcing existing laws, which may limit the legal uses of the hemp plant and its derivatives and extracts, such as cannabinoids.
We cannot predict the nature of any future laws, regulations, interpretations, or applications, nor can it determine what effect additional
governmental regulations or administrative policies and procedures, when and if promulgated, could have on its activities in the cannabis
industry.
In addition, the 2018 Farm Bill did not alter
the FDA’s authority to regulate products containing cannabis or cannabis-derived compounds, including cannabinoids, under the FDCA.
Hemp products, including cannabinoids, that qualify as drugs, food, dietary supplements, veterinary products, and cosmetics, for example,
are subject to regulation by the FDA. Following passage of the 2018 Farm Bill, the FDA reaffirmed its enforcement authority and reiterated
the requirement that a product containing CBD or other cannabinoid(s) (hemp-derived or otherwise) that is marketed with a claim of therapeutic
benefit implicitly or explicitly attributed to, or based on, the presence of the cannabinoid as an ingredient, or any other health/medical
claim, must be approved by the FDA for its intended use(s) before it may be introduced into interstate commerce. We currently have cannabinoid-containing
retail offerings in virtually all forms of consumption (e.g., supplements, topical products, gummies, tinctures, vape products, and others).
We are, accordingly, subject to some level of regulatory risk, given the FDA’s current position that CBD is an active drug ingredient
that cannot be marketed as a food or dietary supplement under the FDCA. However, we believe our offerings are consistent with others on
the market that pose a low risk of regulatory enforcement.
Additionally, while the 2018 Farm Bill and analogous
state legislation has reduced the amount of DEA oversight of hemp-derived cannabinoids, this is a rapidly evolving area of U.S. law and
substantial uncertainty remains as to the future of federal and state regulation of cannabinoid products. Many states have varying requirements,
including licensure requirements that must be met prior to engaging in applicable hemp operations. We are in the process of reviewing
and complying with applicable state requirements, but we may not have or be aware of all the necessary authorizations needed to engage
in the business we conduct in each applicable state. Any regulations the FDA issues relating to the sale, marketing, and/or other activities
involving cannabinoid or certain cannabinoid-containing products could have a material adverse effect on our business, financial condition
and results of operations.
Given the uncertainty surrounding future state
regulations and the continuing barriers that still exist for cannabinoids in certain product categories due to FDA regulation, it is unknown
to what extent FDA’s regulation of the applicable product categories in which we offer cannabinoid-containing products may have
on our business.
Costs associated with compliance with numerous
laws and regulations could impact our financial results. In addition, we have become and could in the future become subject to increased
enforcement and/or litigation risks associated with the CBD industry.
The manufacture, labeling and distribution of products
containing CBD or other cannabinoids is governed by various federal, state and local agencies. Our commercialization of various cannabinoid-containing
products at the retail level may give rise to heightened regulatory scrutiny and greater risk of consumer litigation, either of which
likely restricts the scope of the permissible marketing claims we can lawfully make about such products or our ability to continue selling
them in the United States at all. The shifting compliance environment and the need to build and maintain robust systems to comply with
different hemp or CBD-related regulations in jurisdictions may increase costs and/or the risk that we may violate one or more applicable
regulatory requirements. If our operations, or any of our activities or products, are found to be in violation of any such laws or any
other governmental regulations that apply to the manufacture, distribution, or sale of FDA-regulated products, generally, or to products
containing cannabinoids, more specifically, we may be subject to penalties, including, without limitation, civil and criminal penalties,
damages, fines, the curtailment or restructuring of its operations, any of which could adversely affect our ability to operate its business
or its financial results.
Failure to comply with any applicable FDA requirements,
relating to CBD or otherwise, may result in, among other things, injunctions, product withdrawals, recalls, product seizures, fines and
criminal prosecutions. Our advertising is also subject to regulation by the FTC under the Federal Trade Commission Act. Additionally,
analogous state advertising and labeling laws are often enforced by state attorneys general, and any state or federal enforcement action
based on potentially misleading or deceptive advertising is often followed by costly class-action complaints under state consumer-protection
laws.
The FDA, on its own and in collaboration with
the FTC, has issued numerous warning letters to companies offering for sale of topical, oral, and other types of products containing CBD,
which were not approved under the FDA’s NDA process, in response to their making unsubstantiated claims on product webpages, online
stores, and social media websites about the products’ purported therapeutic or other drug-like benefits in connection with CBD or
other cannabinoids. The FDA deemed that companies “used these online platforms to make unfounded, egregious claims about their products’
ability to limit, treat or cure cancer, neurodegenerative conditions, autoimmune diseases, opioid use disorder, and other serious diseases,
without sufficient evidence and the legally required FDA approval.”
The agency has continuously demonstrated its commitment
to taking action against companies making medical claims about products containing CBD (as the active ingredient), as selling unapproved
products with unsubstantiated therapeutic claims can put patients and consumers at risk. The FDA does not believe CBD has been shown to
be safe and effective for any therapeutic use, except as used in Epidiolex, the only new drug containing natural, hemp-derived CBD that
has been approved by FDA under the NDA process, which was approved for the treatment of seizures associated with Lennox-Gastaut syndrome
or Dravet syndrome in patients 2 years of age and older. The agency’s principal concern with CBD products on the market that are
unlawfully claiming to treat serious medical conditions is that deceptive marketing of unproven treatments may keep some patients from
accessing appropriate, recognized therapies to treat serious and even fatal diseases. Additionally, because they are not evaluated by
the FDA, there may be other ingredients that are not disclosed, which may be harmful.
The FDA has pledged to continue to monitor the
marketplace and take enforcement action as-needed to protect the public against companies illegally selling products containing CBD as
the active ingredient, claiming to prevent, diagnose, treat, or cure serious diseases, such as cancer, Alzheimer’s disease, psychiatric
disorders and diabetes; illegally selling cannabis and cannabis-derived products that can put consumers at risk; and marketing and distributing
such products in violation of the FDA’s authorities.
We, or those who market the hemp-derived products we manufacture and/or
distribute, may inadvertently make claims in the future about the efficacy or safety of such products, which, due to the presence of CBD
or other cannabinoids as ingredients or for any other reason, may be deemed to be unsubstantiated claims and/or render the products unapproved
new drugs in violation of the FDCA.

We do not anticipate paying cash dividends and, accordingly,
stockholders must rely on share appreciation for any return on their investment.
We currently intend to retain our future earnings,

Our common stock may become the target of

Commissions and Expenses
We will pay the placement agent a cash fee equal to seven percent (7%)
of the aggregate gross proceeds raised in this offering (assuming the full exercise of the pre-funded warrants). In addition, we will
pay the placement agent a cash fee equal to seven percent (7%) of the aggregate cash exercise price received by the Company upon exercise
of common warrants issued in connection with this offering that were solicited by the placement agent. We will also reimburse the placement
agent for their expenses, including the reimbursement of legal fees not to exceed $125,000.
In
addition, we have agreed to issue to the placement agent as compensation warrants to purchase up to 1,000,000 shares of common stock
(equal to 10% of the aggregate number of shares of common stock and pre-funded warrants sold in this offering). The placement agent warrants
and the shares of common stock issuable upon exercise of the placement agent warrants are being registered hereby.
The placement agent warrants will have substantially the same terms
as the common warrants issued to the investors in the offering, except that the placement agent warrants have an exercise price of $0.65625
per share, which represents 125% of the public offering price per share and two (2) accompanying common warrants and cannot be exercised until we have received stockholder approval to increase the number of our authorized shares of common stock, including
by means of a reverse stock split, by the number of shares of common stock issuable upon the exercise in full of all placement agent warrants,
ignoring any exercise limits set forth therein.

Lock-Up Restrictions
We have also agreed that, from the date of the
securities purchase agreement until December 1, 2024, without the prior written consent of the purchasers holding a majority in interest
of the shares issued or issuable in this offering, we will not effect or enter into an agreement to effect any issuance by us or any of
our subsidiaries of common stock or common stock equivalents (or a combination of units thereof) involving a transaction in which we:
(i) issue or sell any debt or equity securities that are convertible into, exchangeable or exercisable for, or include the right to receive
additional shares of common stock either (A) at a conversion price, exercise price or exchange rate or other price that is based upon
and/or varies with the trading prices of or quotations for the shares of common stock at any time after the initial issuance of such debt
or equity securities, or (B) with a conversion, exercise or exchange price that is subject to being reset at some future date after the
initial issuance of such debt or equity security or upon the occurrence of specified or contingent events directly or indirectly related

a tail fee equal to the cash compensation in this offering, if any investor, who were introduced to us by the placement agent during the
term of its engagement, as well as any investor who participated in this offering, provides us with capital in any public or private offering
or other financing or capital raising transaction during the 6-month period following expiration or termination of our engagement of the
placement agent or the completion of this offering.
Indemnification
We have agreed to indemnify
the placement agent against certain liabilities, including liabilities under the Securities Act of 1933, as amended (“Securities
Act”), and liabilities arising from breaches and representations and warranties by us as contained in the engagement letter. We
have also agreed to contribute to payments the placement agent may be required to make in respect of such liabilities.

Common Warrant
The following description of our common warrants

Duration and Exercise Price
Each common warrant offered hereby has an initial
exercise price per share equal to $0.525. Each common warrant is exercisable for one share of common stock. The common warrants are immediately
exercisable and have a term of exercise equal to five years following the original issuance date. The exercise price and number of shares
issuable upon exercise is subject to appropriate adjustment in the event of stock dividends, stock splits, reorganizations or similar
events affecting our common stock and the exercise price. In addition, upon any subsequent equity sales at a price per share lower than
the then effective exercise price of such warrants, such exercise price shall be lowered to such price at which the shares were offered.

Exercisability
The common warrants are immediately exercisable,

A holder (together with its affiliates) may not exercise any portion of such holder’s common warrants to the extent that the holder
would own more than 4.99% (or 9.99%, at the holder’s election) of our outstanding common stock immediately after exercise, except
that upon notice from the holder to us, the holder may decrease or increase the limitation of ownership of outstanding shares of common
stock after exercising the holder’s common warrants up to 9.99% of the number of shares of our common stock outstanding immediately
after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the common warrants, provided
that any increase in such limitation shall not be effective until 61 days following notice to us. No fractional shares of common stock
will be issued in connection with the exercise of a common warrant. In lieu of fractional shares, we will either pay the holder an amount

Cashless Exercise
If, at the time a holder exercises its common
warrants, a registration statement registering the issuance or resale of the shares of common stock underlying the common warrants under

as the acquisition of an “investment unit” consisting of one share of common stock or one pre-funded warrant, as applicable,
and a warrant to acquire 1 share of our common stock, subject to adjustment. The purchase price for each investment unit will be allocated
between these two components in proportion to their relative fair market values at the time the unit is purchased by the holder. This
allocation of the purchase price for each unit will establish the holder’s initial tax basis for U.S. federal income tax purposes
in the common stock or pre-funded warrant, as applicable, and the common stock warrant included in each unit. We do not intend to advise

Tax Considerations Applicable to U.S. Holders
Exercise and Expiration of the Pre-Funded Warrants
and Common Warrants
In general, a U.S. Holder will not recognize
gain or loss for U.S. federal income tax purposes upon exercise of a pre-funded warrant or common warrant (collectively for the
balance of this discussion a “warrant”), except to the extent such U.S. Holder receives a cash payment for a fractional
share that would otherwise have been issuable upon exercise of the warrant, which will be treated as a sale subject to the rules
described below under “U.S. Holders -- Disposition of Our Common Stock, Pre-Funded Warrants or Common Warrants.” The
U.S. Holder will take a tax basis in the shares acquired on the exercise of a warrant equal to the exercise price of the warrant,
increased by the U.S. Holder’s adjusted tax basis in the warrant exercised. A U.S. holder’s holding period in the common
stock received upon exercise of a pre-funded warrant generally should include such U.S. holder’s holding period in the
pre-funded warrants exchanged therefor. The U.S. Holder’s holding period in the shares of our common stock acquired on
exercise of the common warrant will begin on the date of exercise of the common warrant (or possibly, the day after), and will not
include any period for which the U.S. Holder held the common warrant.
In certain limited circumstances, a U.S. Holder
may be permitted to undertake a cashless exercise of warrants into our common stock. The U.S. federal income tax treatment of a cashless
exercise of warrants into our common stock is unclear, and the tax consequences of a cashless exercise could differ from the consequences

common stock, pre-funded warrants or common warrants. Capital gain or loss will constitute long-term capital gain or loss if the U.S.
Holder’s holding period for the applicable common stock, pre-funded warrant or common warrant exceeds one year. The deductibility
of capital losses is subject to certain limitations. U.S. Holders who recognize losses with respect to a disposition of our common stock,
pre-funded warrants or common warrants should consult their own tax advisors regarding the tax treatment of such losses.
Medicare Tax
Certain U.S. Holders that are individuals, estates
or trusts are subject to a 3.8% tax on all or a portion of their “net investment income,” which may include all or a portion
of their dividend income and net gains from the disposition of securities. Each U.S. Holder that is an individual, estate or trust is

Information Reporting and Backup Withholding

amount of the outstanding debt securities of any series may on behalf of the holders of all the debt securities of such series waive any

Defeasance of Debt Securities and Certain Covenants
in Certain Circumstances
Legal Defeasance
The indenture provides that,
unless otherwise provided by the terms of the applicable series of debt securities, we may be discharged from any and all obligations
in respect of the debt securities of any series (subject to certain exceptions). We will be so discharged upon the irrevocable deposit
with the trustee, in trust, of money and/or U.S. government obligations or, in the case of debt securities denominated in a single currency
other than U.S. dollars, government obligations of the government that issued or caused to be issued such currency, that, through the
payment of interest and principal in accordance with their terms, will provide money or U.S. government obligations in an amount sufficient
in the opinion of a nationally recognized firm of independent public accountants or investment bank to pay and discharge each installment
of principal, premium and interest on and any mandatory sinking fund payments in respect of the debt securities of that series on the
stated maturity of those payments in accordance with the terms of the indenture and those debt securities.
This discharge may occur
only if, among other things, we have delivered to the trustee an opinion of counsel stating that we have received from, or there has been
published by, the United States Internal Revenue Service a ruling or, since the date of execution of the indenture, there has been a change
in the applicable United States federal income tax law, in either case to the effect that, and based thereon such opinion shall confirm
that, the holders of the debt securities of that series will not recognize income, gain or loss for United States federal income tax purposes
as a result of the deposit, defeasance and discharge and will be subject to United States federal income tax on the same amounts and in

Defeasance of Certain
Covenants
The indenture provides that,
unless otherwise provided by the terms of the applicable series of debt securities, upon compliance with certain conditions:

same amounts and in the same manner and at the same times as would have been the case if the deposit and related covenant defeasance had
not occurred. |
No Personal Liability of Directors, Officers,
Employees or Stockholders
None of our past, present
or future directors, officers, employees or stockholders, as such, will have any liability for any of our obligations under the debt securities
or the indenture or for any claim based on, or in respect or by reason of, such obligations or their creation. By accepting a debt security,
each holder waives and releases all such liability. This waiver and release is part of the consideration for the issue of the debt securities.
However, this waiver and release may not be effective to waive liabilities under U.S. federal securities laws, and it is the view of the
SEC that such a waiver is against public policy.
Governing Law
The indenture and the debt
securities, including any claim or controversy arising out of or relating to the indenture or the securities, will be governed by the

the trustee and the holder of the debt securities (by their acceptance of the debt securities) irrevocably submit to the non-exclusive
jurisdiction of such courts in any such suit, action or proceeding. The indenture will further provide that service of any process, summons,
notice or document by mail (to the extent allowed under any applicable statute or rule of court) to such party’s address set
forth in the indenture will be effective service of process for any suit, action or other proceeding brought in any such court. The indenture
will further provide that we, the trustee and the holders of the debt securities (by their acceptance of the debt securities) irrevocably

Our authorized capital stock consists of 300,000,000
shares of common stock, $0.00001 par value per share, and 10,000,000 shares of preferred stock, $0.00001 par value per share. As of March 1,

Preferred Stock
Under the terms of our amended and restated articles
of incorporation, the board of directors is authorized, subject to any limitations prescribed by law, without stockholder approval, to
issue such shares of preferred stock in one or more series. Each such series of preferred stock shall have such rights, preferences, privileges
and restrictions, including voting rights, dividend rights, conversion rights, redemption privileges and liquidation preferences, as shall
be determined by the board of directors.
The purpose of authorizing the board of directors

Warrants
July 2022 Warrants
As of March 1, 2023, the Company has outstanding
warrants to purchase up to 17,073,175 shares of common stock. The warrants are currently exercisable at an exercise price of $2.05 per
share, subject to certain adjustments, and expire on July 25, 2027. A holder of warrants will have the right to exercise the warrants
on a “cashless” basis if there is no effective registration statement registering the resale of the warrant shares. Subject
to limited exceptions, a holder of warrants will not have the right to exercise any portion of its warrants if the holder, together with
its affiliates, would beneficially own in excess of 4.99% (or 9.99% at the election of the holder prior to the date of issuance) of the
number of shares of our common stock outstanding immediately after giving effect to such exercise, provided that the holder may increase
or decrease the beneficial ownership limitation up to 9.99%. Any increase in the beneficial ownership limitation shall not be effective
until 61 days following notice of such change to us. Except as otherwise provided in the warrants or by virtue of such holder’s
ownership of shares of our common stock, the holders of the warrants do not have the rights or privileges of holders of our common stock,
including any voting rights, until they exercise their warrants.
In the event of any fundamental transaction, as
described in the warrants and generally including any merger with or into another entity, sale of all or substantially all of our assets,
tender offer or exchange offer, or reclassification of our shares of common stock, then upon any subsequent exercise of a warrant, the
holder will have the right to receive as alternative consideration, for each share of common stock that would have been issuable upon
such exercise immediately prior to the occurrence of such fundamental transaction, the number of shares of common stock of the successor
or acquiring corporation of our company, if it is the surviving corporation, and any additional consideration receivable upon or as a
result of such transaction by a holder of the number of shares of common stock for which the warrant is exercisable immediately prior
to such event. Notwithstanding the foregoing, in the event of a fundamental transaction, the holders of the warrants have the right to
require us or a successor entity to redeem the warrants for cash in the amount of the Black Scholes Value (as defined in each warrant)
of the unexercised portion of the warrants concurrently with or within 5 days following the consummation of a fundamental transaction.
However, in the event of a fundamental transaction which is not in our control, including a fundamental transaction not approved by our
board of directors, the holders of the warrants will only be entitled to receive from us or our successor entity, as of the date of consummation
of such fundamental transaction the same type or form of consideration (and in the same proportion), at the Black Scholes Value of the
unexercised portion of the warrant, that is being offered and paid to the holders of our common stock in connection with the fundamental
transaction, whether that consideration is in the form of cash, stock or any combination of cash and stock, or whether the holders of
our common stock are given the choice to receive alternative forms of consideration in connection with the fundamental transaction.
There is no established public trading market for
the warrants and we do not expect a market to develop. In addition, we do not intend to list the warrants on the Nasdaq Capital Market,
any other national securities exchange or any other nationally recognized trading system.
March 2023 Warrants
On March 3, 2023, we
issued warrants to purchase up to 5,000,000 shares of our common stock. The warrants are exercisable for five years from September 3,
2023, at an exercise price of $1.275 per share, subject, with certain exceptions, to adjustments in the event of stock splits, dividends,
subsequent dilutive offerings and certain fundamental transactions. We are obligated to register the shares of common stock issuable upon
exercise of the warrants.
In addition, on March 3,
2023, we issued warrants to purchase up to 675,000 shares of our common stock. The warrants are exercisable for seven years from September 3,
2023, at an exercise price of $0.855 per share, subject, with certain exceptions, to adjustments in the event of stock splits, dividends,
subsequent dilutive offerings and certain fundamental transactions.
There is no established public
trading market for the warrants and we do not expect a market to develop. In addition, we do not intend to list the warrants on the Nasdaq
Capital Market, any other national securities exchange or any other nationally recognized trading system.
Anti-Takeover Provisions Under Nevada Law.
Combinations
with Interested Stockholder. Sections 78.411-78.444, inclusive, of the Nevada Revised Statutes (NRS) contain provisions
governing combinations with an interested stockholder. For purposes of the NRS, "combinations" include: (i) any merger
or consolidation of a Nevada corporation or any subsidiary of a Nevada corporation with the interested stockholder or any other entity,
whether or not itself is an interested stockholder of the Nevada corporation, which is, or after and as a result of the merger or consolidation
would be, an affiliate or associate of the interested stockholder; (ii) any sale, lease, exchange mortgage, pledge, transfer or other
disposition, in one transaction or a series of transactions, to or with the interested stockholder or any affiliate or associate of the
interested stockholder of assets of the Nevada corporation or any subsidiary of the Nevada corporation (x) having an aggregate market
value equal to more than 5% of the aggregate market value of all of the consolidated assets of the Nevada corporation, (y) having
an aggregate market value equal to more than 5% of the aggregate market value of all the outstanding voting shares of the Nevada corporation,
or (z) representing more than 10% of the earning power or net income of the Nevada corporation (determined on a consolidated basis);
(iii) the issuance or transfer by the Nevada corporation or any subsidiary of the Nevada corporation, in one transaction or a series
of transactions, of any shares of the Nevada corporation or any subsidiary of the Nevada corporation that have an aggregate market value
equal to 5% or more of the aggregate market value of all the outstanding voting shares of the Nevada corporation to the interested stockholder
or any affiliate or associate of the interested stockholder except under the exercise of warrants or rights to purchase shares offered,
or a dividend or distribution paid or made, pro rata to all stockholders of the Nevada corporation; (iv) the adoption of any plan
or proposal for the liquidation or dissolution of the Nevada corporation under any agreement, arrangement or understanding, whether or
not in writing, with the interested stockholder or affiliate or associate of the interested stockholder; (v) except for transactions
that would not constitute a combination pursuant to subsection (iii) above, any reclassification of securities (including, without
limitation, share splits, share dividend or other distribution of shares with respect to other shares, or any issuance of new shares in
exchange for a proportionately greater number of old shares), any recapitalization of the Nevada corporation, any merger or consolidation
of the Nevada corporation with any of its subsidiaries, or any other transaction, whether or not with or into or otherwise involving the
interested stockholder, under any agreement, arrangement or understanding, whether or not in writing, with the interested stockholder
or any affiliate or associate of the interested stockholder, which has the immediate and proximate effect of increasing the proportionate
share of the outstanding shares of any class or series of voting shares or securities convertible into voting shares of the Nevada corporation
or any subsidiary of the Nevada corporation which is beneficially owned by the interested stockholder or any affiliate or associate of
the interested stockholder, except as a result of immaterial changes because of adjustments of fractional shares; and (vi) any receipt
by the interested stockholder or any affiliate or associate of the interested stockholder of the benefit, directly or indirectly, except
proportionately as a stockholder of the Nevada corporation, of any loan, advance, guarantee, pledge or other financial assistance or any
tax credit or other tax advantage provided by or through the Nevada corporation.
For purposes of the NRS, an "interested stockholder"
is defined to include any person, other than the Nevada corporation or any subsidiary of the Nevada corporation, who is: (a) a beneficial
owner, directly or indirectly, of 10% or more of the voting power of the outstanding voting shares of the Nevada corporation or (b) an
affiliate or associate of the Nevada corporation and was, at any time within two years immediately before the date in question, the beneficial
owner, directly or indirectly, of 10% or more of the voting power of the then-outstanding shares of the Nevada corporation.
Subject to certain exceptions, the provisions of
the NRS statute governing combinations with interested stockholders provide that a Nevada corporation may not engage in a combination
with an interested stockholder for two years after the date that the person first became an interested stockholder unless the combination
meets all of the requirements of the articles of incorporation of the Nevada corporation and (i) the combination or the transaction
by which the person first became an interested stockholder is approved by the board of directors before the person first became an interested
stockholder or (ii) during the two-year period, the transaction is approved by the board and by 60% of the disinterested stockholders
at an annual or special meeting of the stockholders.
After such two-year period, corporations subject
to these statutes may not engage in specified business combinations and transactions unless the combination meets all of the requirements
of the articles of incorporation of the Nevada corporation and: (i) the business combination or transaction by which the person first
became an interested stockholder is approved by the board of directors before the stockholder became an interested stockholder; (ii) the
business combination is approved by a majority of the outstanding voting power (excluding the shares held by the interested stockholder
or any affiliate or associate of the interested stockholder); or (iii) the combination meets the requirements of 78.411 through 78.444
of the NRS, inclusive.
The NRS allows a corporation to "opt out"
of NRS 78.411 through 78.444, inclusive, by providing in such corporation's original articles of incorporation or bylaws that such statutes
do not apply to the corporation. Unless certain limited exceptions apply, corporations cannot opt out of such statutes by amending their
articles of incorporation or bylaws. We have not opted out of such statutes.
Control
Share Acquisitions. The NRS also contains a "control share acquisitions statute." If applicable to a Nevada
corporation, this statute restricts the voting rights of certain stockholders referred to as "acquiring persons," that acquire
or offer to acquire, directly or indirectly, ownership of a "controlling interest" in the outstanding voting stock of an "issuing
corporation." For purposes of these provisions (i) a "controlling interest" means, with certain exceptions, the ownership
of outstanding voting stock sufficient to enable the acquiring person to exercise one-fifth or more but less than one-third, one-third
or more but less than a majority, or a majority or more of all voting power in the election of directors and (ii) an "issuing
corporation" means a Nevada corporation, as of any date, that has 200 or more stockholders of record, at least 100 of whom have had
addresses in Nevada appearing on the stock ledger of the corporation at all times during the 90 days immediately preceding such date,
and which does business in Nevada directly or through an affiliated corporation. The voting rights of an acquiring person in the affected
shares will be restored only if such restoration is approved by the holders of a majority of the voting power of the corporation, and
if the acquisition would adversely alter or change any preference or any relative or other right given to any other class or series of
outstanding shares, the holders of a majority of each class affected (excluding the shares held by the acquiring person) at an annual
or special meeting of the stockholders.
The NRS allows a corporation to "opt out"
of the control share acquisitions statute by providing in such corporation's articles of incorporation or bylaws, in effect on the 10th
day following the acquisition of a controlling interest by an acquiring person, that the control share acquisitions statute does not apply
to the corporation or to an acquisition of a controlling interest specifically by types of existing or future stockholders, whether or
not identified. We have not opted out of the control share acquisitions statute.
Liability and Indemnification of Directors and Officers
NRS Sections 78.7502 and 78.751 provide us with
the power to indemnify any of our directors, officers, employees or agents, or any person who serves or served at the corporation’s
request as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise (for purposes
of this section, the “Indemnitee” or “Indemnitees”) against expenses, including attorneys’ fees, actually
and reasonably incurred related to any threatened, pending or completed action, suit or proceeding (whether civil, criminal, administrative
or investigative) arising by reason of an Indemnitee’s status as a director, officer employee or agent of the corporation if: (i) the
Indemnitee is not liable for breach of fiduciary duties to the corporation involving intentional misconduct, fraud or knowing violation
of law; (ii) the Indemnitee conducted himself or herself in good faith and reasonably believes that his or her conduct was in, or
not opposed to, our best interests; or (iii) in a criminal action, the Indemnitee must not have had reasonable cause to believe that
his or her conduct was unlawful. NRS Section 78.751 requires us to indemnify any Indemnitee for any expenses referenced above if
the Indemnitee has been successful on the merits or otherwise in defense of the foregoing actions, suits or proceedings.
Under NRS Section 78.7502, any discretionary
indemnification, unless ordered by a court or advanced by the corporation in accordance with NRS Section 78.751(2), can only occur
if deemed proper by (i) the stockholders; (ii) a majority vote of a quorum consisting of disinterested directors; or (iii) an
independent counsel’s written legal opinion (if such an approach is approved by a majority vote of a quorum consisting of disinterested
directors or if a quorum consisting of disinterested directors cannot be obtained). Under NRS Section 78.751(2), advances for expenses
may be made by agreement if the Indemnitee affirms in writing that he or she believes that he or she has met the statutory standards and
will personally repay the expenses if a court of competent jurisdiction determines that such Indemnitee did not meet the statutory standards.
Our amended and restated bylaws include an indemnification
provision under which we have the power to indemnify, to the extent permitted under Nevada law, our current and former directors and officers,
or any person who serves or served at our request for our benefit as a director or officer of another corporation or our representative
in a partnership, joint venture, trust or other enterprise, against all expenses, liability and loss reasonably incurred by reason of
being or having been a director, officer or representative of ours or any of our subsidiaries. We may make advances for expenses upon
receipt of an undertaking by or on behalf of the director or officer to repay the amount if it is ultimately determined by a court of
competent jurisdiction that he, she or it is not entitled to be indemnified by us.
Our amended and restated articles of incorporation
provides that we shall indemnify directors and officers to the fullest extent permitted by the NRS. Our amended and restated articles
of incorporation also provide a limitation of liability such that no director or officer shall be personally liable to us or any of our
stockholders to the fullest extent permitted by the NRS.
Insofar as indemnification for liabilities arising
under the Securities Act of 1933, as amended (the “Securities Act”) may be permitted to directors, officers and controlling
persons of ours under Nevada law or otherwise, we have been advised that the opinion of the SEC is that such indemnification is against
