Remarks:
On February 3, 2009, the nominating committee of RMR Dividend Capture Fund ("RCR"), which consists solely of RCR's independent trustees, selected and nominated Mr. Somers as a class II trustee of RCR. RCR's nominating committee selected Mr. Somers pursuant to the requirements of RCR's Agreement and Declaration of Trust, the Investment Company Act of 1940, as amended, and the rules and regulations thereunder. The full board of trustees of RCR approved Mr. Somers's nomination and selection, effective February 3, 2009. Mr. Somers does not beneficially own any non-derivative or derivative securities of RCR.
