Offer Update
On 22 February 2013, CPI Group, a.s. ("CPI" or the "Offeror")
acquired 39,237,704 ordinary shares in Ablon Group Limited ("Ablon"
or the "Company") at a price of 22.5 pence per share taking its
aggregate holding from approximately 22.23 per cent. to
approximately 50.89 per cent. of the issued share capital of the
Company and, as a result, CPI made a mandatory cash offer (the
"Offer") for the remaining shares in the Company in accordance with
Rule 9 of the Code.
The full terms of the Offer and the procedures for acceptance
were set out in the offer document issued by CPI on 13 March 2013
(the "Offer Document").
Capitalised terms used but not defined in this announcement
shall have the meaning given to them in the Offer Document.
Level of Acceptances
CPI announces that, as at 1.00 p.m on 21 March 2013, it has
received valid acceptances of the Offer in respect of a total of
33,117,575 Ablon shares, representing approximately 24.18 per cent.
of the existing issued share capital of Ablon.
CPI has not received any irrevocable undertakings or letters of
intent in connection with the Offer and, so far as CPI is aware,
none of the acceptances described above have been received from
persons acting in concert with CPI.
As at 20 March 2013 (being the latest practicable date prior to
the publication of this announcement), neither CPI, nor any person
acting in concert with CPI, is interested in, has any rights to
subscribe for any relevant securities of Ablon nor does any such
person have any short position (whether conditional or absolute and
whether in the money or otherwise), including any short position
under a derivative or any arrangement in relation to any relevant
securities of Ablon. For these purposes, "arrangement" includes any
agreement to sell or any delivery obligation or right to require
another person to purchase or take delivery of any relevant
securities of Ablon and any borrowing or lending of any relevant
securities of Ablon which have not been on-lent or sold and any
outstanding irrevocable commitment or letter of intent with respect
to any relevant securities of Ablon.
Accordingly, as at 1.00 p.m on 21 March 2013, in aggregate CPI
owned or had received valid acceptances in respect of 102,799,217
Ablon ordinary shares, representing approximately 75.07 per cent.
of the existing issued share capital of Ablon.
The percentages of Ablon shares referred to in this announcement
are based upon a figure of 136,938,116 Ablon ordinary shares in
issue as at the date of this announcement.
The Offer will remain open for acceptances until 1.00 p.m.
(London time) on 3 April 2013 (being the First Closing Date). CPI
reserves the right to further extend the Offer in its absolute
discretion but is under no obligation to do so.
Land Bank Portfolio acquisition
As previously disclosed, on 22 February 2013 Mr. Radovan Vitek,
through a subsidiary of Czech Property Investments, a.s., CPI Beta
a.s. ("Beta"), entered into a non-binding heads of terms with
Österreichische Volksbanken-Aktiengesellschlaft ("Volksbank") in
relation to the proposed acquisition of Ablon's portfolio of land
bank loans (the "Land Bank Portfolio"). Earlier today, Beta and
Volksbank executed a binding agreement pursuant to which Beta
acquired the Land Bank Portfolio, together with related security,
for EUR15,651,435 plus daily interest in the amount of EUR3,150 per
day in the period between 1 January 2013 and 21 March 2013. The
agreement was in the same form as the Draft Land Bank Portfolio
Agreement described in the Offer Document. All of the conditions
precedent in the Agreement have now been satisfied and Panel
consent has been given.
Ablon shareholders that have not yet accepted the Offer
Ablon shareholders who have not yet accepted the Offer are
encouraged to do so without delay. Acceptances of the Offer should
be received in accordance with the instructions contained in the
Offer Document and, in the case of ordinary shares held in
certificated form (that is, not in CREST), the Form of
Acceptance.
The Offer Document has been sent to Ablon shareholders in hard
copy and is available for inspection free from charge, subject to
certain restrictions relating to persons resident in Restricted
Jurisdictions, on CPI's website (at www.cpi-group.cz) during the
course of the Offer.

and rights to subscribe for, any relevant securities of each of (i)
the offeree company and (ii) any paper offeror (s). An Opening
Position Disclosure by a person to whom Rule 8.3(a) applies must be
made by no later than 3.30 p.m. (London time) on the 10th Business
Day following the commencement of the Offer Period and, if
appropriate, by no later than 3.30 p.m. (London time) on the 10th
Business Day following the announcement in which any paper offeror
is first identified. Relevant persons who deal in the relevant
securities of the offeree company or of a paper offeror prior to
the deadline for making an Opening Position Disclosure must instead

for, any relevant securities of each of (i) the offeree company and

previously been disclosed under Rule 8 of the Code. A Dealing
Disclosure by a person to whom Rule 8.3(b) of the Code applies must
be made by no later than 3.30 p.m. (London time) on the Business
Day following the date of the relevant dealing.
If two or more persons act together pursuant to an agreement or
understanding, whether formal or informal, to acquire or control an
interest in relevant securities of an offeree company or a paper
offeror, they will be deemed to be a single person for the purpose
of Rule 8.3 of the Code.
Opening Position Disclosures must also be made by the offeree
company and by any offeror and Dealing Disclosures must also be
made by the offeree company, by any offeror and by any persons
acting in concert with any of them (see Rules 8.1, 8.2 and 8.4 of
the Code).

relevant securities Opening Position Disclosures and Dealing
Disclosures must be made can be found in the Disclosure Table on

details of the number of relevant securities in issue, when the
Offer Period commenced and when any offeror was first identified.
