Announcement regarding Revised Offer
The Committee notes that Terra European Investments B.V. ('TEI') has increased
its Offer Price from EUR4.50 to EUR5.125 per Spazio Ordinary Share (the "Revised
Offer Price").
The Offer, subject to the Revised Offer Price (the 'Revised Offer'), remains
subject to the same terms and conditions of the Offer Document.
The Committee continues to believe that the Revised Offer significantly
undervalues the Company and the Committee recommends that Shareholders should
therefore reject the Revised Offer.
A copy of the letter from the Chairman of Spazio in respect of the Offer sent to
Shareholders on 3 July 2009 is available on the website of the Company,
www.spazioinvestment.com.
Spazio is not subject to the City Code on Takeovers and Mergers.
In accordance with the Company's Articles of Association, the Company confirms
that is has 27,491,295 ordinary shares of EUR0.20 in issue and admitted to trading
on the London Stock Exchange under the ISIN code of NL0000686319.
Capitalised expressions used within this announcement will have the same
definition as contained in the letter from the Chairman of Spazio sent to
Shareholders on 3 July 2009.
