Rockley Photonics leaves Chapter 11 bankruptcy with new funding

Rockley Photonics, which has leveraged silicon photonics technology for optical communications before shifting its focus to medical applications, says it has emerged from Chapter 11 after filing for bankruptcy protection in the first quarter of this year.

Rockley Photonics, which has leveraged silicon photonics technology for optical communications before shifting its focus to medical applications, says it has emerged from Chapter 11 after filing for bankruptcy protection in the first quarter of this year. Its financial restructuring includes approximately $35 million in additional funding from its stakeholders.

The company asserts that all of its material customer relationships remain in place and it remains on schedule with all of its programs, including development of remote patient monitoring technology. Rockley is developing photonic integrated circuits, sensors, and full-stack offerings to enable sensing platforms, including wearable technology, designed for health monitoring.

“Rockley’s ability to emerge from Chapter 11 in just 46 days was a significant achievement and marks the beginning of a new era for the company. Our stakeholders’ ongoing belief in Rockley has provided us with a greatly strengthened balance sheet and the funds to continue to develop disruptive technology for the med tech market,” commented Dr. Andrew Rickman, Rockley’s CEO. “We greatly appreciate the continued support not only of our stakeholders but also of our suppliers, partners, and employees. Rockley Photonics emerged from stealth in 2014 with its own take on silicon photonics (see “Bookham founder resurfaces at Rockley Photonics”). It established a joint venture with Hengtong Optic-Electric for the optical transceiver market in 2018 and dabbled with an OptoASIC platform as an early form of co-packaged optics before switching its focus to the healthcare market in 2020 (see “Rockley Photonics closes new funding, hires CCO with healthcare focus” and “Rockley Photonics to go public, focus on healthcare market”).

Apple Makes Major Progress on No-Prick Blood Glucose Tracking for Its Watch

(Bloomberg) -- Apple Inc. has a moonshot-style project underway that dates back to the Steve Jobs era: noninvasive and continuous blood glucose monitoring.

The goal of this secret endeavor — dubbed E5 — is to measure how much glucose is in someone’s body without needing to prick the skin for blood. After hitting major milestones recently, the company now believes it could eventually bring glucose monitoring to market, according to people familiar with the effort.

If perfected, such a breakthrough would be a boon to diabetics and help cement Apple as a powerhouse in health care. Adding the monitoring system to the Apple Watch, the ultimate goal, would also make that device an essential item for millions of diabetics around the world.

There’s still years of work ahead, but the move could upend a multibillion-dollar industry. Roughly 1 in 10 Americans have diabetes, and they typically rely on a device that pokes the skin for a blood sample. There are also patches from Dexcom Inc. and Abbott Laboratories that are inserted into the skin but need to be replaced about every two weeks.

Apple is taking a different approach, using a chip technology known as silicon photonics and a measurement process called optical absorption spectroscopy. The system uses lasers to emit specific wavelengths of light into an area below the skin where there is interstitial fluid — substances that leak out of capillaries — that can be absorbed by glucose. The light is then reflected back to the sensor in a way that indicates the concentration of glucose. An algorithm then determines a person’s blood glucose level.

Hundreds of engineers are working on the project as part of Apple’s Exploratory Design Group, or XDG, a previously unreported effort akin to X, the moonshot division of Alphabet Inc. It’s one of the most covert initiatives at the famously secretive Apple. Even fewer people are involved in it than the company’s self-driving car undertaking, overseen by the Special Projects Group, or the mixed-reality headset, which is being developed by its Technology Development Group.

The news weighed on shares of diabetes technology companies on Wednesday, with both Dexcom and Abbott falling more than 3% before recovering. Apple gained 0.3% to $148.91 by the close in New York.

A spokesperson for Cupertino, California-based Apple declined to comment. A representative for Abbott, meanwhile, said it’s also developing new glucose monitoring products. “Continued innovation in health tech is critical,” Abbott spokesman Scott Stoffel said. “It’s also complex and must be accurate, easy and affordable. Abbott is the world’s leader in continuous glucose monitoring because our FreeStyle Libre products address those needs.”

Apple has tested its glucose technology on hundreds of people over the past decade. In human trials, it has used the system with people who don’t know if they’re diabetic, as well as people with prediabetes and Type 2 diabetes. It has compared its own technology to standard tests on blood drawn from veins and samples taken from a prick in the skin, known as capillary blood.

Apple’s system — more than 12 years in the making — is now considered to be at a proof-of-concept stage, said the people, who asked not to be identified because the project is confidential. The company believes the technology is viable but needs to be shrunk down to a more practical size.

Engineers are working to develop a prototype device about the size of an iPhone that can be strapped to a person’s bicep. That would be a significant reduction from an early version of the system that sat atop a table.

One of Apple’s goals for the technology is to create a preventative measure that warns people if they’re prediabetic. They then could make lifestyle changes to try to avoid developing Type 2 diabetes, which occurs when a person’s body doesn’t use insulin properly. Apple’s regulatory team has already held early discussions about getting government approval for the system.

But there’s a reason it’s considered a moonshot goal. Numerous startups — and some of the world’s largest companies — have tried and failed to develop a noninvasive monitoring system. In 2014, Google announced plans to make smart contact lenses that could measure blood glucose through teardrops. It shelved the complex project in 2018.

Apple’s senior executives believe this problem is one that they’re uniquely positioned to crack, given the company’s expertise in hardware and software integration — along with its deep pockets. Chief Executive Officer Tim Cook, Chief Operating Officer Jeff Williams and Apple Watch hardware head Eugene Kim all have a hand in the project, and it’s already cost hundreds of millions of dollars, according to the people familiar with the situation.

The Apple Watch has gradually become more of a health tool. The first model, launched in 2015, included a heart-rate sensor but was more focused on fitness tracking. The device gained the ability to take electrocardiograms, or ECGs, from the wrist in 2018. It also can now sense body temperature — for women’s health tracking — and calculate blood oxygen levels.

The glucose system will rely on a slate of Apple-designed silicon photonics chips and sensors. The company tapped Taiwan Semiconductor Manufacturing Co. to build the main chip to power the feature. TSMC, a key Apple partner, already builds the main processors inside of iPhones, iPads and Macs.

Before shifting to TSMC, Apple had worked with Rockley Photonics Holdings Ltd. to develop the sensors and chip for the technology. In 2021, Rockley publicly disclosed its work with Apple, stoking interest in the supplier. Apple later ended the partnership, and Rockley filed for bankruptcy last month.

While Apple has made major technology strides on the glucose effort, it suffered a recent setback: The group’s leader, longtime scientist and engineering executive Bill Athas, passed away unexpectedly at the end of 2022. The work is now led by a few of Athas’s top deputies, including managers Dave Simon and Jeff Koller. They report to Johny Srouji, Apple’s chips chief.

Before becoming part of the XDG team, the project was cloaked in even more secrecy: It operated as its own startup called Avolonte Health LLC that was, to any outside observer, unaffiliated with Apple.

The startup was run out of a small office building in Palo Alto, about 12 miles from Apple’s headquarters. Team members had Avolonte employee badges, rather than ones from Apple. That strategy kept Apple’s work under wraps during human trials, as well as its efforts to gain patents and line up partners.

The project began in 2010 when Apple purchased a startup named RareLight that touted an early approach to noninvasive blood glucose monitoring.

Apple co-founder Steve Jobs, dealing with his own health problems, directed the iPhone maker to buy the company. Apple tapped Bob Messerschmidt, RareLight’s founder, to kick off its own work on a glucose monitor, which was initially codenamed E68. Messerschmidt now runs a health company called Cor Health.

The deal ultimately happened because of “Jobs’s vision of health care combined with technology,” he said in an interview. Former senior Apple hardware executives Bob Mansfield and Michael Culbert were also driving forces behind the project, people involved said.

Messerschmidt was replaced as the project head in 2011 by Apple veteran Michael Hillman, who left in 2015. Upon his departure, Avolonte Health wound down and the endeavor became part of Athas’s XDG. The team now works near the Apple Park headquarters.

Rockley went down the wrong path with their tech, and no one will need or want their patents. POET figured out how to co-package the photonics solutions of their customers at the wafer level, and did this on a shoestring budget with occasional financings, but nothing on the scale of the investment poured into Rockley. They now sit on the edge of commercialization.

I think you are overthinking things. Rockley failed because they were blowing 40 Million a quarter. My take is that they could have still done well with the product whether it was in the Apple watch or not. But the company fundamentals were a disaster.

Advice
Not many like advice because it grates against the ego. We buy a stock and think we have it all figured out so why would I need any advice?
When you buy hype-trains like Rockley and Lightwave Logic, your first responsibility is to find out :
1. Does it work?
2. Is it repeatable?
3. Can it be manufactured without the customer's expense of retooling?
4. Is it able to be manufactured small enough? (If it is not getting smaller, then forget it)
5. Is it compatible with what is currently being made?
6. Is there a market for it?
7. Will there be customers who actually need this?
8. Will it save customers their money and drive them to your product?
9. Is it a one-off, or is a platform being developed that can going in many directions for years to come?
10. "Patent moats" mean nothing if the above items cannot be answered honestly.
I expect $LWLG to go the same route as $RKLY just because of the above items.
There is a company that can honestly answer the above questions affirmatively. Find it and you can make back all of your losses
in the hype-train stocks.
One more work of caution, Apple blew it in this stock because they did not do their homework. They too hoped, or got hyped. Just because institutions are loading up your stock does not mean it's a winner either. It is not their own money they are buying with. Don't follow institutional buying
like a bunch of lemmings running off of a cliff.
The "trading" you see is only the death throes; pay no attention to it because it is only an example of the false hopes that ignorant technology stock buyers exhibit all the way into the toilet.
Get smart. Do the work. Win.

I agree it smells like a cheap buyout, they have manipulated this non-stop lower from the beginning, I'd bet a buyout at $1 to $2 is the goal

I believe the technology is fine, but the financial management/forsight has been a disaster for RKLY, the cash burn is HUGE, why? because RKLY employs 89 PhD's and 190 Engineers!! (see slide 5) They have about 500 patents/patent apps, 17 customers including Apple (delayed) and Medtronic, the original revenue guidance Rickman gave in March 2022 was for $325 million in 2023 and $1.2 billion in 2024, later in the year Rickman said that guidance would be revised and given to investors in 1Q of 2023

$RKLY: Probably CEO AndrewRickman stockpiling Shares here

He did sell over 18 Millon shares at $3.90 for a nice take of $72Milly on March 15 last year

If he buys 18Milly shares here at 0.20 its only gonna cost him $3.6Milly.

Nice way to get back in again at a much more favorable price.

Keep an eye out on Form 4 or 13d Filings here in the near future, that'll explain
this volume.

Xena I was wondering about your other post (below) regarding Rockley and whether they may be working on something with Lightwave's polymers for their biosensors (Elec-Opitical), and possibly even with GFS. However, I know this isn't the immediate area of development that LWLG is working on very aggressively (modulators). Especially with some of Lightwave's recent hires (synthetic chemist, with focus on medical area).
