Hell I have proved in Court more complex issues then what you claim. It would be easy to prove whether or not the LOI was issued in good faith. Depositions would be taken of Deprima Garin and Miller and docs subpoenaed, as well as bringing in the Captiva exec to determine the rationale for termination of the acquisition even after Captiva built a facility.
The problem is with zero assets why would anyone litigate the issues as Paog is judgment proof and there is no insurance. The only remedy would be to render a complaint to the Feds which might work. Look at the website of Paog...they still have cannabis cultivators info as though they have some business operation ongoing. Despite the Pura acquisition getting undone there was no news put forth when it occurred. Lots of issues with this company.

Semantics. Note: For the record, you won’t be capable to blame Deprima on “The basis” that he used the LOI as an attempt to pump. There is not way from the shareholders standpoint to proof that, unless, of course something happens like his predecessors that were forced to resign for questionable practices. You won’t be capable to proof such on Esmeralda. Maybe he really went for it and things went south due to misunderstanding in a bar after several drinks amongst Amigos in Mexico. Heey LOIs are so sensitive, not guarantees. Specially in OTCM. I dont blame deprima For trying tho, that’s what CEOs are supposed to be doing. The pumpers in social media are the issue, jumping the rope ahead of themselves and dragging others with fictional intel

Although an LOI is not, of course a consummated Agreement it is an expression of an Intent to do so in the future. Many investors in good faith accept the risk that for one reason or another that the contemplated transaction will not be completed, but invest nevertheless as parties of good faith have indicated the intent to pursue the transaction.
I will blame Deprima if the execution of the LOI is just an effort to pump the stock as investors in good faith accept the risk but not the fraud of not having an honest intention ab initio.

Honestly that’s what LOIs are about, not a confirmation neither guarantees of a solid deal. I don’t even blame him for stalling or staying silent. He just trying to make things up from the shadows. PAOG's LOI with Salud Esmeralda USA was transacted on June 21, 2023, 11 months ago. Pathetic that Deprima hasn't issued any further news other then to say in the Annual report issued last month that the LOI has not been completed...NO S*** Deprima we know that! Silence is deafening unfortunately!

Don't reply on DiPrima to say anything to assist this. It was all a scam and if you didn't get in and get out quickly you're most likely left holding a bag like most of us. This was all orchestrated and with the OTC rules DiPrima again made out most likely like a bandit and has made his cash and will sit back until next time ......... it'll all happen again its all about timing. Same dilemma I have. I too want to be supportive/optimistic but finding it more difficult every day.
While the Acquisition/merger most likely would take a fair amount of time to effect, a timeframe should have been announced at some point, even at the time the LOI was made. Now PAOG is a falling knife and fewer want to catch it. Deprima can say something if only that the intent of the parties is to complete the transaction.

The dates on previous filings are correct but this bubble burst already. You can’t ever base yourself only on verbal statements or LOI from a Penny stock CEO. There is not proof on paper and not assurances. It almost feels like he is stalling. It is sad but hey, fool money is where it is found atOTC . It is said for a reason

So, per history I noticed PAOG to submit fillings on the 14th and if late, or nothing submitted then up to the 18th of any month tho. Now it is the 15th, if I am certain, CEO shall be sending some updates pretty soon. Rumors updates are coming. I will give him the benefit of doubt
