Doesn't really have anything to do with 'red flags', the merging company is legit from my research.

This is more about World Financial Holding Group and their big ole F U to the existing shareholders with a 1000:1 r/s, when 10:1 would have been perfectly adequate.

That's what these guys do though, a r/s was always a consideration, 1000:1 I really didn't see that coming though.

Buyer beware if your in BEES, that's another one of theirs, very good chance you could get wiped out there as well.

If it was a scam... I would think they would have put out a few news stories and sold shares when it went up.

World Financial Holding Group strikes again, these guys are reverse split specialists, virtually ever ticker these guys have been involved in has done a reverse split. For whatever reason they like extremely low o/s on their tickers, to the point of almost being untradeable.

The filing came out after hours Wednesday... which have time for some research.
After I had spent a little time looking.. I decided .14 - 15 cents was not enough.. this has a much better potential.. and I am going to patiently wait.

I agree with you, it does look to me as though Snow Valley Group will be acquired at some point, but she does control a number of other assets/companies, as well, so I don't want to say 100% for sure until we see the filings.

I know she has KeMiao Clothing(China), and that would appear to have several branches, or subs, she also has Tanfang Clothing(Shanghai) or Beachfang Clothing, depending on the translation, then of course Snow Valley Group, and it has at least 5 subs as well. They are all interconnected, but it's just not clear how exactly, beyond all being controlled by Yufang Zhu.


On the agricultural side, I'm not seeing the connection to the website you posted, SnowValley Agricultural Development Co, beyond the name 'Snow Valley', did you connect that company to Yufang Zhu somehow..??

As far as I know, her agricultural company does not have a website, or I have yet to find one, I believe the name is Jiangxi KeMiao Agricultural Development Co.

I came to the same conclusions as you... found the same two companies. I also looked into the CPA listed as the second in list of directors.... he has done the legal work in the mergers for several of these.

I've done a fair bit of research into this now, this is what I speculate is happening based on my DD......of course I could be wrong so do your own DD as well.

YanPing Sheng is the Chairman of The Board for World Financial Holding Group, WFHG acquires US OTC shells to be used in RM's with Asian companies wanting to go public in the US. They have done a couple already(DFHL, BYIN) and are working on a few others(BEES, KRFG, MNGG).

Per the latest filings, as of right now KEMIAO GARMENT HOLDING GROUP(AIVI) is basically an empty shell, however......it was recently taken over by Ms Yufang Zhu, and she now controls 36M shares of AIVI(57.586%)

Yufang Zhu is the chairman and founder of KeMiao Clothing Holdings Group(CHINA), as well as Snow Valley Group(CHINA). This part is a bit unclear because all the DD is in Chinese and has to be run though translators, but based on the DD, would appear that KeMiao(CHINA) is dba as Snow Valley Group, or possibly a subsidiary of Snow Valley. They are VERY closely related, but just not 100% sure how yet.

At the signing ceremony, of going public in the US, they appear to use KeMiao(Snow Valley Group) interchangeably.

So based on this article, and the info in the recent filings:

If you put 2+2 together, it would appear that these 'acquisition opportunities' mentioned the 10-12G will almost certainly include KeMiao Clothing Holdings Group(CHINA), and/or Snow Valley Group(CHINA).

The companies are pretty substantial, 500+ employees, multiple subsidiaries, millions in revenue, I won't even begin to post all the DD on these, because there is a TON of it out there, but they look quite solid to me.
