Just Energy Announces Proposed Acquisition of its Shares of ecobee Inc.

TORONTO, Nov. 01, 2021 (GLOBE NEWSWIRE) -- Just Energy Group Inc. (“Just Energy” or the “Company”) (TSXV:JE; OTC:JENGQ), a retail energy provider specializing in electricity and natural gas commodities and bringing energy efficient solutions, carbon offsets and renewable energy options to customers, announced today that Generac Holdings Inc. (“Generac”) announced the signing of an agreement to acquire all of the issued and outstanding shares of ecobee Inc. (“ecobee”), including all of the ecobee shares held by Just Energy.

The acquisition of all the shares of ecobee will be effected pursuant to a court approved arrangement under the Canada Business Corporations Act (Canada). Just Energy will be seeking court approval in its proceedings under the Companies’ Creditors Arrangement Act (Canada) (“CCAA”) to enter into a support agreement with an affiliate of Generac to vote in favour of the acquisition.

The ecobee acquisition by Generac is valued at up to USD $770 million, contingent on the achievement of certain performance targets. At closing, Generac will pay the sellers of the ecobee shares an aggregate of USD $200 million in cash, subject to customary adjustments, along with USD $450 million in Generac common stock. Additionally, upon achievement of certain performance targets between closing and June 30, 2023 the sellers may receive up to an aggregate of USD $120 million in shares of Generac common stock.

At closing, Just Energy anticipates receiving approximately CAD $61 million, comprised of approximately CAD $18 million cash and CAD $43 million of Generac stock. Just Energy can receive up to an additional approximate CAD $10 million in Generac stock over calendar 2022 and 2023, provided that certain performance targets are achieved by ecobee. Generac stock trades on the New York Stock Exchange under the symbol GNRC.

The acquisition of ecobee by Generac is expected to close in the fourth quarter of calendar 2021, subject to customary closing conditions, including clearance under the Hart-Scott-Rodino Antitrust Improvements Act.

Getting money from Texas will this save them?

Q stocks almost always get wiped. I have not followed this other than I own the CAD$ side stock which has been halted. Jengq has gone up green close 7 straight days and over 400k in volume today to a close of 1.22 - march 30th had a big say and spike also but this was largest volume day since then.

Not sure why. Im down 75% anyway so written off

Value has been vaporized because now they are Just Broke.

Robinhood account has all shares VANISH - stock no longer supported on RH!

They haven't made money since 2018 so I'm not sure how solid their business model was. I kinda stopped watching when they did the RS to artifically inflate their value.

This is a sad story here. JE must have know the risk of what happened,”Texas weather event” , but also must have never thought it would happen.


Also sad that it forced several companies into bankruptcy with no regard. Texas energy rules and regulations, or lack of, really need to be fixed. No way several financially sound companies should have to pay the price of insolvency due to a 10 day “weather event”. And NEVER should a customer be charge 1000’s of dollars for electricity in USA.

Thanks for the info, I was out by EOD yesterday ( didn't get my fill at 4.90 ) Trading halt this AM. Cancelled all trades now until tomorrow and see what happens. But will be looking elsewhere unless "good news" comes out.

Please be careful here. I was out around 8. We need more information on what the cost is to the company related to the Texas weather “event”and what the impact is on the company.

You got to love these sell the news events, back down under the 4 for US and under the 5 for Can. Will be watching Monday for direction. Good day today.../

Didn't expect the Q3 reports out today, but still had 2200 shrs so still happy been in and out 3 times today so still banking it.

This was a gapper on my WL. Rejeted 4.16 and then just took off after that. Potential 21% P. We will get them next time.

Maybe this will answer why people aren't buying right now,

Would like to form a reversal candle to begin pushing back up.

Loaded some shares here today. Doji candle tells me it bounces back up tomorrow to begin a partial fill of the gap above.
