ITEM 8.01. OTHER EVENTS

On June 22, 2010, the Securities and Exchange Commission (the "SEC") filed a civil enforcement action in the United States District Court for the Southern District of New York against Advanced Technologies Group Ltd. (the "Company"), its Chief Executive Officer and President alleging violations of the Securities Act of 1933, as amended in connection with certain securities offerings conducted by the Company and its predecessors between 1997 and 2006 and seeking preliminary and permanent injunctive relief, disgorgement and civil monetary penalties. The SEC also seeks provisional relief in the form of an order freezing the defendants' assets and prohibiting destruction, concealment or altering of records pending final disposition of the action.
