| Explanation of Responses: |
| (1) | As described in the registrant's registration statement on Form S-1 (File No. 333-239462) under the heading "Description of Securities - Founder Shares", the Class B ordinary shares will automatically convert into Class A ordinary shares at the time of the registrant's initial business combination on a one-for-one basis, subject to adjustment for share subdivisions, share consolidations, share capitalizations, reorganizations, recapitalizations and the like, and certain anti-dilution rights and has no expiration date. |
| (2) | These shares represent Class B ordinary shares held by Malacca Straits Management Company Limited (the "Sponsor") acquired pursuant to certain securities subscription agreement dated as of March 31, 2020 by and between the Sponsor and the registrant (the "Subscription Agreement"), which, in June 2020, were subject to a share dividend satisfied by way of issuance of 0.25 of a share for each Class B ordinary share issued pursuant to the Subscription Agreement. The reporting person is one of three directors of the Sponsor. As such he may be deemed to beneficially own the securities held by the Sponsor by virtue of such control. The reporting person disclaims beneficial ownership of the securities held by the Sponsor other than to the extent of his direct or indirect pecuniary interest in such securities. |
| (3) | In connection with the liquidation and winding up of the registrant, all Class B ordinary shares, except 1 share, were surrendered by the Sponsor for no consideration and cancelled by the registrant. |
