The Company presently has a preliminary agreement for an ALL-STOCK acquisition of a European based biotechnology company which owns and controls three patents: (1) long-lasting preparation of long-term stable intravenous melatonin injectable - addressing Sepsis, Bacterial pathologies, and other inflammatory pathology; (2) new melatonin formulations for the treatment of chemotherapy-resistant tumors - addressing Cancer (head and neck, prostate, breast, ovarian, melanoma, etc...); and (3) injectable melatonin composition for the treatment of viral diseases - addressing viral diseases. There are no guarantees and the Company is providing NO assurance that it could close this acquisition.
