I knew something was amiss when she jumped off the BOD. Did not want to be on a sinking ship, Took one look at Kehler and decided she would never be in the same room with that guy. It was the smart move.

Putz, I really do not know how it got to this point. Investors were told the mine was good to go on just niobium alone. Then scandium was added to the mix and that was not enough. Now rare earths is the last piece of the puzzle and government help is sorely needed. How could the leading experts in mining be that far off in their actions. Those are just basic questions that need to be answered. Could not wait to merge with the SPAC and flaunt it to the investment community. Only funds now interested are the ones who are here for a quick buck. No institutions on board even at cheap prices.

Moral of the story is do not trust anyone especially on the business end. I have three stocks now and two of the CEO's are beyond awful. I think I would rather have a robot in the top slot.

I am glad “real” investors are starting to chime in about this trash management team. What this management team did during COVID is not right. How could Mark and team have the balls to give themselves MASSIVE pay raises while destroying our company share price and market cap? This team only has their best intentions and interest at heart…I know the bootlickers will shout sell our shares, Talk with management blah,blah,blah

When most if not all companies around the world took massive pay cuts during the Covid years( generating revenue companies I might add) This team chose to give themselves massive pay raises?? I want some of you groupie to answer this question...Tell us the reasons you felt they should get raises working part time at a company??

Because there is no reason for this stock to move up. There is no reason for anyone to create upward pressure here by buying. The money coming in is toxic. There is no news besides dilution and an 8M obligation with REALLY bad terms. EXIM and Stellantis are whispers in the dark. Maybe it will move up in 5 or 10 trading days if someone pulls a rabbit out of their hat or their ass.

I was under the impression shelf registration shares can be sold to any Tom, Dick or Harry on the market and would not need a prospectus to free them up to be sold.

Rader- while that is encouraging that they are seeking a secondary non dilutive form of financing for the FS etc.... One can't help but wonder...... why, pray tell, are they just now seeking financing for the FS? wouldnt they have tried to procure financing a year ago w/ EXIM or other parties? can never figure out what the heck these guys are doing...... and the timing on when they are doing it......

I consider this significant. It answers several questions. (My answers based on personal interpretation of Jim's response)

1. How is NioCorp paying for the Feasibility Study? - By seeking funds through EXIM's Engineering Multiplier Program (EMP)

2. Why is the FS taking so long? - Because funding may be coming through an EXIM program, which moves at the speed of...government.

Thank you ge11 for reaching out to Jim Sims. This adds a bit of clarity to some concerns that have been raised on this message board re: the FS.

If I were to make a conservative statement about when something in the future will happen... this is just how I would do it: I might say The end of June is conservative. (I don't want anyone to think it could be earlier. I don't want to get anyone's hopes up or mislead them.)

Mark’s view that the Stellantis deal could be approved in the first half of 2024 is certainly the target that both NioCorp and Stellantis are working toward. The transaction has many moving parts, as is often the case with offtake agreements and strategic investments of this type, and it will complete when all is done.



Regarding EXIM, our target is to complete an EXIM debt financing package in 2024.

The EMP will finance feasibility studies, pre-construction design, engineering, architectural and environmental services undertaken prior to commencement of the implementation phase of a physical project, supporting the award of major equipment supply and construction contracts and development of technical and environmental & social information that required to facilitate EXIM’s future consideration.

The buyer must be a creditworthy entity and the underlying project must be eligible for EXIM support.

Shareholder, He also served for over seven years as the shareholder representative of Companhia Brasileira Metalúrgica e Mineração, a private company that currently produces approximately 85% of the world supply of niobium.

How much reading have you done about shelf offerings? Looks like this one will expire in November.

Here is quote from Mark about the shelf offering dated November 2021

while the shelf registration, he says, will open the door on the equity side, where he says the group is receiving 'tremendous interest' from institutions already.

It's conjecture on my part but I guesstimate that the company needs to raise 10 to 25 million dollars before they get a final decision from exim. At least a portion of that will almost certainly be an equity raise. There just isn't a good way to do that at these levels. At least when Kingdon took their small part of the shelf down there were no warrants attached and they didn't immediately look to unload their shares.

The shelf will go out to the market as well not just Big institutional investors.

Volume at a high SP is needed for the shelf to be a success. JMO

I’m sure there is a financial institution that would be handling that, when that reality occurs.

If niocorp is able to pay $8mil to Yorkville with shares (and I don't think they want this), then the company will have received a little less than $7mil in exchange for over 3.5 million shares with the warrants included.

Mark has been trying to use the shelf offering for close to 3 years now with only one tiny nibble to show for it. That is why the above happened.

I am thinking about starting a 'Go Fund Me' Page for Niocorp...... I just found a bunch of change in the couch cushions that i can donate..... perhaps if everyone shakes their couch cushions real hard (and don't forget to check under your car seats too) then sends a few bucks to NioVille Accounts Recievable Department- then maybe, just maybe we can help pay these bloated management salaries and get the FS funded..... comon' people.... do your part... our NB team is working around the clock and busting their asses daily (don't laugh.... hehehe)........ ok, agreed, there ain't much to show for it YET, and we have reset the clock many times over the last 5 years with many false alarms on imminent financing......... but they (NB fearless leaders) deserve our undying loyalty..... hey, the GX Drexel Burnham BOD sharks are checking in every other month like clockwork- to see how things are going in Centennial, and while they no doubt feel badly about how the GX SPAC debacle turned out, they are still not willing to help out on any company loans to help the fledgling NB company coffers (the NB SP is less than a McDonlad's cheeseburger* with their tight financial situation)....... all they (GX SPAC'ler crew who got 20% of our company for nothing) would have to do is ETF/wire $20M from their yacht in Monaco or the den of one of their vacation homes (during a CNBC commercial).....

Comon' SPAC'ler sharks!!! help your company out...... it'LL pay off...... maybe not as well as the failed SPAC or the Global Crossing liquidation sale in the early 2000's, but you will receive a few multiples of your investment....... Maybe not, But what I do know, since the Shelf belongs to me as a shareholder, is that I would rather use it all up @ $40.00 rather than 20% of it @ $2.38 to pay the monthly bills.

Do we even have a Shelf any more? Or did it Disappear with the TSX?
