In accordance with the transitional provisions of the Disclosure and
Transparency Rules, Ultimate Leisure Group plc ("Ultimate") confirms that its
issued share capital comprises 39,822,954 ordinary shares of 10p each.


There are no ordinary shares held in treasury.


The total number of voting rights in Ultimate is therefore 39,822,954.


This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the share capital of Ultimate under the
Disclosure and Transparency Rules.
