Initial Cash Return and Issue of B Shares

At the Extraordinary General Meeting of the Company on 22 December 2014, Shareholders approved the Initial Cash Return by way of the B Share Scheme. On 7 January 2015 the Company further confirmed that the amount returned per Ordinary Share would be 49.25 pence, as set out in the circular sent to Shareholders on 28 November 2014 (the 'Circular').

360,000,000 B shares will today be issued and allotted to Shareholders who were on the register of members of the Company as at 5.00pm on 8 January 2015. The B Shares will neither be quoted nor admitted to trading on AIM.

The Initial Cash Return gave Shareholders a choice between payment of a dividend in respect of the B Shares (the B Share Dividend), acceptance of an offer by the Company to purchase the B Shares (the B Share Purchase Offer) or a combination of both. In the absence of an election being made, Shareholders were deemed to have elected to receive their return by way of the B Share Dividend.

At the close of the Election Period, being 1.00pm on 8 January 2015, the results of the elections were as follows.

The Initial Cash Return will be completed by 16 January 2015 following dispatch of cheques or CREST accounts credited (as appropriate) in respect of the B Share Dividend and B Shares purchased.
