Result of Special Meeting

Cancellation of Admission to trading on AIM

The Board of Shariah Capital announces that at its Special Meeting, held on 23 August 2012, the resolution to approve the proposed cancellation of admission to trading on AIM of the Common Shares of the Company, as set out in the Circular published on 6 August 2012, was duly passed by Shareholders.

80% of the Company's total voting rights were voted in favour of the Resolution at the Special Meeting and 100% of all votes cast by Shareholders. This figure includes the irrevocable undertakings given by Eric Meyer (Chairman and CEO) and certain of his family trusts in respect of their respective interests totalling 46,153,635 Common Shares representing 76.95% of the total voting rights of the Company.

The last day of trading on AIM of the Common Shares of the Company will be 4 September 2012 and the Cancellation will become effective at 7:00am UK time on 5 September 2012.

Defined terms in this announcement bear the same meanings as those defined in the Circular posted to shareholders on 6 August 2012.
