Clarification Announcement

Reference is made to the announcement dated 30 May 2013 published by RCG Holdings Limited (AIM: RCG, HKSE: 802) (the "Company" and together with its subsidiaries, the "Group") in relation to the Placing of new Shares under General Mandate ("the Announcement"). Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcement.

The board of directors (the "Director") (the "Board") of the Company wishes to clarify that the definition for the Last Trading Day in the Announcement shall be defined as 30 May 2013, being the last full trading day. As a result, the Placing Price of HK$0.355 per Share shall represent a discount of approximately 17.44% to the closing price of HK$0.430 per Share as quoted on the Hong Kong Stock Exchange on the Last Trading Day.
