                     Total voting rights and share capital

For the purposes of the Financial Service Authority's Disclosure and
Transparency Rules, the total number of ordinary shares of �0.01each of the
Company ('Ordinary Shares') in issue as at the date of this notice is 27,230,920
with each share carrying the right to one vote. There are no shares held in
treasury.

Therefore the total number of voting rights in Premier Direct Group Plc is
27,230,920.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Premier Direct Group Plc under
the Disclosure and Transparency Rules.
