   Issue of Equity and Total Voting Rights 
 
   Octopus Titan VCT 1 plc (the "Company") announces the following 
allotments of Ordinary Shares of 10p each in the capital of the Company 
("Shares"): 
 
   1.          1,910 Shares in relation to a joint offer for subscription 
pursuant to a prospectus issued by the Company (and the other Octopus 
Titan VCTs) dated 7 February 2013; 
 
   2.         1,025 Shares in relation to an offer for subscription 
pursuant to a prospectus issued by the Company (and the other Octopus 
Titan VCTs) dated 3 September 2013; and 
 
   3.         11 Shares in relation to a joint top up offer for 
subscription pursuant to an offer document issued by the Company (and 
the other Octopus Titan VCTs) dated 4 April 2014. 
 
   The Company announces that the Shares referred to above were issued and 
allotted on 27 August 2014 at a price of 92.2p under the terms of the 
relevant document. 
 
   Application has been made to the London Stock Exchange for admission of 
the new Shares referred to above. Admission is expected to become 
effective on or around 11 September 2014. 
 
   The issued share capital and total voting rights of the Company is now: 
32,750,980 Ordinary Shares.
