Issue of Equity 
 
The Directors of Octopus Protected VCT 2 plc are pleased to announce 
an allotment on 30 June 2009 of 1,184,339 ordinary shares of 10p each 
("Ordinary Shares") at a price of 100 pence per share pursuant to the 
Offer which opened on 17 July 2008 and which, pursuant to a 
Supplementary Prospectus dated 3 April 2009, was extended to close no 
later than 30 June 2009 (or such earlier date on which the Offer is 
fully subscribed). 
 
Application for the Ordinary Shares to be admitted to the Official 
List of the UK Listing Authority and to trading on the London Stock 
Exchange's market for listed securities will be made shortly and 
dealings are expected to commence on 2 July 2009. 
 
The Company now has 11,650,327 Ordinary shares in issue. 
 
The Offer closed at 5 pm on 30 June 2009.
