In conformity with the Disclosure and Transparency Rule 5.6,  Eclipse
VCT 2 plc notifies the market of the following:

The capital of the Company consists of 18,550,546 ordinary shares
with a nominal value of 10 pence each, with voting rights.

The Company does not hold any Ordinary Shares in Treasury.

Therefore, the total number of voting rights in Eclipse VCT 2 plc  is
18,550,546.

The  figure  of  18,550,546  may  be  used  by  shareholders  as  the
denominator for the calculations by which they will determine if they
are required  to notify  their  interest in,  or  a change  to  their
interest in,  Eclipse  VCT  2  plc under  the  FSA's  Disclosure  and
Transparency Rules.
