Result of Written Resolution of Shareholders of the Company

On 6 December 2016 the Company circulated a written resolution (the "Written Resolution") to its shareholders to approve the adoption of a new Memorandum and Articles of Incorporation of the Company (the "New Memorandum and Articles") in order to bring such constitutional documents in line with recent changes to The Companies (Guernsey) Law, 2008 (as amended) and the rules pertaining to the admission of the Company's shares to trading on the AIM Market of the London Stock Exchange.

The Company announces today that it has received the requisite number of votes in favour of the Written Resolution such that the New Memorandum and Articles have now been adopted with immediate effect.
