Allianz Dresdner Smaller Companies Investment Trust plc ("ADSCIT" or the
"Company")


Scheme of Reconstruction of the Company


ADSCIT announces that at an extraordinary general meeting ("EGM") of the Company
held today, 23 April 2004, both the special resolution and the extraordinary
resolution as set out in the notice contained in the Company's circular dated 23
March 2004 implementing the members' voluntary winding up of the Company (as
proposed under the scheme of reconstruction of the Company ("Scheme")) were
passed by shareholders ("Shareholders") of the Company.


The Scheme was previously approved by Shareholders at an extraordinary general
meeting held on 15 April 2004, and following the passing of the resolutions at
the EGM the Company will now be liquidated in accordance with the Scheme.


As part of the Scheme, certain assets of ADSCIT will be transferred to Schroder
UK Mid and Small Cap Fund plc in return for the issue of new ordinary shares.
Dealings in the new ordinary shares in Schroder UK Mid and Small Cap Fund plc
are expected to commence on 26 April 2004.
