Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The resignation of Zhassulan Bitenov as the Chief Financial Officer of Bekem Metals, Inc. (the “Company”) became effective April 30, 2010.  Mr. Bitenov resigned to pursue other opportunities.  Yermek Kudabayev, the Company’s Chief Executive Officer will assume the position of interim Chief Financial Officer of the Company until a suitable replacement for Mr. Bitenov can be hired.
