Item 1.01 Entry into a Material Definitive
Agreement.
On December
9, 2022, Yuengling’s Ice Cream Corporation (the “Company”) entered into an exclusive licensing agreement with
GPO Plus, Inc. (OTCQB: GPOX). GPOX will develop a full line of CBD and other hemp derived cannabinoid products based on the iconic flavors
of Yuengling’s Ice Cream.
The initial term of the Agreement runs through
November 30, 2027, with an option to extend for an additional five years. In consideration for the trademark license, GPOX will pay Yuengling’s
a royalty of 5% of all gross wholesale revenue generated from the sale of Yuengling’s Ice Cream branded products. The Agreement,
which is filed herewith as Exhibit 10.1, should be reviewed in its entirety for additional information.
Additional details regarding products, flavors,
launch date and where the product will be sold will be provided in the near future.
