Boss Power Corp. (TSX VENTURE:BPU) ("Boss Power" or the "Company") today
announced that a majority of its Directors recommends that shareholders vote
YELLOW proxy for five new Boss Power nominees. 


As previously disclosed, all three current members of the Boss Power Board
unanimously approved a Management Information Circular dated October 22, 2013 in
which they agreed not to stand for re-election and to recommend the five new
Boss Power nominees. Ron Netolitzky and John Bowles, representing a majority of
the current Board, continue to support this recommendation.


Boss Power and Institutional Shareholder Services Inc. ("ISS"), the leading
independent proxy advisory firm, have recommended that shareholders vote FOR the
Boss Power nominees, who have the necessary skills and experience to move Boss
Power forward in the best interest of all Boss Power shareholders. However,
shareholders should be aware that director Doug Brooks told Boss Power today
that he no longer supports the voting recommendations in Boss Power's Management
Information Circular. 


"We want to assure shareholders that the majority of the Board has not changed
its views over the past 15 days," said Ron Netolitzky, Chairman and Acting CEO
of Boss Power. "Boss Power's five nominees are all experienced directors of
publicly-traded resource exploration companies and have a track record of
success in negotiations, value creation and mineral exploration. In contrast,
two of the four Beruschi nominees have no experience in mineral exploration or
as directors of publicly-traded companies. The other two have experience that
has produced unimpressive outcomes for shareholders."


A contested vote for Boss Power's Board is scheduled to take place at the
Company's Annual General and Special Meeting on November 14, 2013. Boss Power
urges shareholders to vote the YELLOW proxy and ensure Boss Power receives it
prior to the voting deadline of 11:00 PM (Pacific Time) on Tuesday, November 12,
2013.
