( 1)  The transaction was made under the Digital Recorders, Inc. ("DRI") Board of Directors' and Key Executive Management TBUS Common Stock Compensation Plan (the "Plan"). Participation under the Plan was contingent upon the Plan being approved by TBUS shareholders. At the DRI Annual Meeting of Shareholders on May 24, 2006, the Company's shareholders approved the Plan.
