investigating potential claims against the board of directors of
Kensey Nash Corporation (“Kensey Nash” or the “Company”) (NASDAQ
GS: KNSY) over the Company’s entry into an agreement to be acquired
by Royal DSM N.V. (“DSM”) (NYSE Euronext: DSM KON) in a cash
transaction valued at approximately $360 million. The transaction
is subject to customary conditions and approvals, and is expected
to close in June 2012.
Under the terms of the agreement, DSM has agreed to make a cash
tender offer for all outstanding shares of Kensey Nash common stock
at a price of $38.50 per share. The investigation concerns whether
Kensey Nash’s board of directors failed to adequately shop the
Company and obtain the best price possible for Kensey Nash’s
shareholders before entering into an agreement with DSM.
