Explanation of Responses:
( 1)  Reflects the conversion of restricted stock units (RSUs) granted by ECD to the reporting person that have converted, in accordance with their terms, into an equal number of deferred stock units (DSUs). These DSUs convert on a one-for-one basis into shares of common stock upon the termination of the reporting person's status as a director of ECD.
( 2)  Each restricted stock unit represents a right to receive one DSU. The DSUs are convertible on a one-for-one basis into shares of ECD common stock.
( 3)  The DSUs will be paid out as common stock on a one-for-one basis upon the termination of the reporting person's status as a director of ECD.
