On September 12, 2019, William Oldaker
informed the board of directors (“Board”) of Neuralstem, Inc. (the “Company”) that he is resigning effective
September 30, 2019, as a member of the Board. Mr. Oldaker’s resignation from the Board did not result from any disagreement
with the Company on any matter relating to the Company’s operations, policies or practices.
