Under the terms of the proposal, public shareholders of
Community Financial will receive 0.1753 shares of City Holding
common stock for each share of Community Financial they own. Based
on City Holding’s closing price on August 2, 2012 of $32.37, the
total value would be approximately $5.67 for each share of
Community Financial owned.
The investigation concerns whether Community Financial’s board
of directors failed to adequately shop the Company and obtain the
best possible value for Community Financial’s shareholders before
entering into an agreement with City Holding.
