Item 5.02. Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers.

On April 28, 2023, Frank C. Puleo and Jeanette W. Loeb, members of the Board of Directors (the “Board”) of Midcap Financial Investment Corporation (the “Company”), notified the Company that they would not stand for re-election at the Company’s 2023 annual meeting of stockholders. Mr. Puleo and Ms. Loeb’s decision to not stand for re-election is not because of a disagreement with the Company or the Board on any matter relating to the Company’s operations, policies or practices.
