The Office of Fair Trading, or OFT, said Tuesday, in relation to the anticipated acquisition by Pearson PLC (PSON.LN) of Education Development International PLC (EDD.LN), that it is considering whether arrangements are in progress which, if carried into effect, will result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002.
MAIN FACTS:
-Should it be found to be a relevant merger situation, the OFT will further consider whether the creation of that situation may be expected to result in a substantial lessening of competition within any market or markets in the U.K. for goods or services that warrants reference to the Competition Commission for investigation and report.
-Pearson shares at 1614 GMT down 13 pence, or 1.2%, at 1069 pence valuing the company at GBP8.69 billion.
-Education Development International shares at 1614 GMT unchanged at 197 pence valuing the company at GBP111.2 million.
