On 27 May 2022, 3i Group plc (the "Company") was notified of the following.

On 26 May 2022 share awards under 3i Group Deferred Bonus Plan and the 3i Group Deferred Bonus Plan 2020 (the "Plans") held by the persons discharging managerial responsibilities ("PDMRs") named in the table below vested. On that date the Shares shown in the column headed "Shares acquired" ceased to be subject to restrictions under the Plans. The Shares (if any) shown in the column headed "Shares sold" were sold on 26 May 2022 at a price of 1252.050 pence per share.
