Conditional Share Award

A Conditional Share Award ("CSA") was made to Linda Cook on 4
May 2021 in connection with her joining the Board of Harbour Energy
plc as Chief Executive Officer. The CSA was awarded to compensate
the Chief Executive Officer for incentive arrangements forfeited on
stepping down from her role as Managing Director of EIG Global
Energy Partners ("EIG").
The CSA was made in accordance with the Company's Remuneration
Policy for the recruitment of a new executive director and was made
under the terms of the Company's 2017 Long Term Incentive Plan. The
vesting of the CSA will be in one-third increments on the first,
second and third anniversary of grant.
The CSA is structured to replicate the terms and value of the
awards forfeited by the Chief Executive Officer on stepping down
from EIG. The award price used to calculate the CSA was the Volume
Weighted Average Price ("VWAP") during the month of April 2021,
being GBP0.197p per share.
