Letter to
shareholders regarding auditor engagement
Ferrexpo plc (LSE: FXPO), a
premium iron ore pellet producer and supplier to the global steel
industry, announces that it has today published the following
letters:
· Letter to shareholders dated 30 April 2025;
· Letter of no circumstance from the Company's auditor, MHA,
notifying the Company of the transition to a new legal audit
entity, MHA Audit Services LLP.
As a result of this change,
Resolution 3 in the Notice for the Annual General Meeting ('AGM'),
to be held on 22 May 2025, will need to be amended to reflect the
new name of the auditors. To facilitate this amendment, and in
accordance with article 60.2 of Ferrexpo Plc's Articles of
Association, the Chairperson will propose a procedural ordinary
resolution at the AGM to amend Resolution 3 to read as
follows:
"To re-appoint MHA Audit Services LLP as the Company's
auditors to hold office until the conclusion of the next general
meeting at which the Annual Report and Accounts are to be laid
before the Company."
Shareholders and their duly
appointed proxies will be able to vote on this amendment to the
resolution at the AGM. Shareholders are not required to take any
further action.

letter of no circumstance from MHA are available to view on the

In accordance with 6.4.1 and 6.4.3
of the UK Listing Rules and 6.3.5 of the Disclosure and
Transparency Rules, a copy of the letter to shareholders and letter
of no circumstance from MHA have been uploaded to the National
